This chapter addresses post-mergers and acquisitions (M&A) arbitration. M&A transactions provide fertile ground for litigation. These complex transactions usually give rise to a significant level of information asymmetry between the parties regarding the target company. Buyer and seller harbour opposing interests concerning the sale value. Representations and warranties, as well as the allocation of risk among parties, although aimed at facilitating the closing of the transaction, also frequently create tension and give rise to dissonant expectations during the post-closing phase. Cross-border M&A transactions add even more layers of complexity given the different business cultures and legal regimes involved. Even though M&A deals have established standard global commercial practices, which follow the common law framework, they still raise a series of challenges for parties, stakeholders, and legal advisors, generating all types of post-closing disputes. Although there are several means of dispute resolution, M&A parties have reliably chosen arbitration as a method for resolving their disputes in Brazil. The chapter then looks at the issues that most frequently feature in the arbitration of international M&A disputes in Brazil.

The Dispute Resolution Council was established as a public institution in the last few decades to reduce the number of cases sent to the judiciary in Iran and strengthen public participation and increase the role of the people in criminal justice policy. Although the activities of this institution in recent years have led to a decrease in the number of cases sent to judicial institutions, but its public aspect was not fulfilled as intended. In addition, the law of this council has many contradictions with the constitution with limitations and problems in the legal and structural field that have affected its functions. However, the role of the people is significant in similar institutions in the legal system of the Common Law and France, while strengthening the participatory aspect. This issue has been an effective measure in strengthening participatory criminal policy in these countries. Meskipun kegiatan lembaga ini dalam beberapa tahun terakhir telah menyebabkan penurunan jumlah kasus yang dikirim ke lembaga peradilan, tetapi aspek publiknya tidak terpenuhi sebagaimana dimaksud. Selain itu, undang-undang dewan ini memiliki banyak kontradiksi dengan konstitusi dengan keterbatasan dan masalah di bidang hukum dan struktural yang mempengaruhi fungsinya. Namun, peran masyarakat cukup signifikan dalam lembaga sejenis dalam sistem hukum Common Law dan Perancis, sekaligus memperkuat aspek partisipatif. Isu ini telah menjadi langkah yang efektif dalam memperkuat kebijakan kriminal partisipatif di negara-negara tersebut. Tujuan dari penelitian ini adalah untuk mengetahui kebijakan kriminal dari Dispute Resolution Council dan lembaga sejenis di Perancis.Kata Kunci: Dewan Penyelesaian Sengketa, Hukum Prancis, Kebijakan Peradilan Pidana Iran Оценка роли и позиции советов по решению спорных вопросов В уголовной политике ирана по сравнению с аналогичными учреждениями во французской судебной системе  АннотацияСовет по решению спорных вопросов был создан как государственное учреждение в последние десятилетия для сокращения количества дел, передаваемых в судебные органы в Иране, и расширения участия общественности и повышения роли общественности в политике уголовного правосудия. Хотя деятельность этого учреждения в последние годы привела к уменьшению количества дел, направляемых в судебные органы, общественный аспект не выполняется должным образом. Кроме того, закон этого совета имеет много противоречий с конституцией с ограничениями и проблемами в правовой и структурной областях, которые влияют на его функционирование. Тем не менее, роль сообщества весьма значительна в аналогичных учреждениях в системе общего права и правовой системы Франции, а также в усилении аспекта участия. Этот вопрос стал эффективным шагом в укреплении совместной уголовной политики в этих странах. A unique and independent legal framework is important to effectively adjudicate Islamic finance disputes, Sukuk bankruptcies, and Takaful disputes. Currently, these disputes are being adjudicated in common law courts or ineffective arbitration centres where often the Islamic finance transaction is inadvertently converted into a conventional transaction due to the common law nature of the dispute adjudication. In this chapter, a framework is proposed for Islamic finance dispute resolution in the form of the Dubai World Islamic Finance Arbitration Centre (DWIFAC), DWIFAC Jurisprudence Office, the Sukuk Bankruptcy Tribunal (SBT) and the Takaful Tribunal (TT).

Malaysia and Singapore are members of the common law family and have 'inherited' their company and insolvency law from models in use in the United Kingdom with influences from Australia. It is the purpose of this article to outline the law in relation to cross-border insolvency, particularly the winding up of foreign companies, the co-operation provisions in bankruptcy and insolvency as well as more recent moves to redevelop insolvency through UNCITRAL and Asian Development Bank initiatives.

This study examines how U.S. acquiring firms managed their earnings by means of discretionary accruals prior to the announcement of stock-for-stock domestic and cross-border mergers during the period 1980 to 2002. The objective of this study is to determine whether earnings management is exacerbated in cross-border mergers according to the informational asymmetry hypothesis. The results show that that acquiring firms tend to manage earnings upward prior to stock swap domestic takeovers. In addition, the results reveal some evidence of earnings management prior to stock swap cross-border takeovers. However, the empirical results exhibit no significant distinction in earnings management between the domestic and cross-border mergers. Despite the possible existence of asymmetric information associated with cross-border takeover activities, the international mergers and acquisitions do not facilitate managers to engage in more aggressive earnings management. The findings suggest that the higher degree of information asymmetry in cross-border mergers does not contribute to a higher degree of earnings management.

Abstract The ‘new NAFTA’ agreement between Canada, Mexico, and the United States maintained the system for binational panel judicial review of antidumping and countervailing duty determinations of domestic government agencies. In US–Mexico disputes, this hybrid system brings together Spanish and English-speaking lawyers from the civil and the common law to solve legal disputes applying domestic law. These panels raise issues regarding potential bicultural, bilingual, and bijural (mis)understandings in legal reasoning. Do differences in language, legal traditions, and legal cultures limit the effectiveness of inter-systemic dispute resolution? We analyze all of the decisions of NAFTA panels in US–Mexico disputes regarding Mexican antidumping and countervailing duty determinations and the profiles of the corresponding panelists. This case study tests whether one can actually comprehend the ‘other’. To what extent can a common law, English-speaking lawyer understand and apply Mexican law, expressed in Spanish and rooted in a distinct legal culture?

AbstractIn the context of internal or regulatory investigations or other legal proceedings, companies located in Europe may be forced to disclose electronically stored information such as e-mails on short notice in order to comply with any such internal or regulatory request or applicable procedural electronic discovery regulations. These disclosure requirements may have considerable breadth, and non-compliance can lead to severe sanctions.Part I of this article describes the American procedure of e-discovery. Part II provides a brief description of the British concept of e-disclosure and considers how it differs from the American concepts of e-discovery. Part III shows - as one prominent example for civil code jurisdictions in the European Union (for an overview of other jurisdictions see The Sedona Conference, International Overview of Discovery, Data Privacy and Disclosure Requirements, September 2009) - the German regime for e-discovery requests and highlights some data protection issues to be observed. Part IV examines how the conflict existing between the common law concept of e-evidence and the civil law principles could be harmonized. Finally, part V gives some examples of how technology can be used to support e-discovery and to establish processes in compliance with applicable data privacy laws.

Because of the unique position that Hong Kong occupies in China and its separate legal system based on the common law, it is a well-established policy of the Hong Kong Special Administrative Region (‘‘HKSAR’’) Government to develop and enhance Hong Kong’s status as a major dispute resolution centre in the Asia Pacific region. One significant initiative in this regard is the recent introduction of a new Arbitration Ordinance to further improve the legal environment for arbitration in Hong Kong.
