Role of Company Employees in Promoting Corporate Governance: A Comparative Analysis of the Approaches in Nigeria and the United Kingdom

This article seeks to modify and extend the Varieties of Capitalism (VofC) approach in a way that makes it possible for it to account for both within country diversity and the role which international factors play in shaping national patterns of participation. It does so by drawing on recent debates about the VofC approach in general and comparative corporate governance in particular. Both these literatures suggest the need for VofC analysis to adopt a less deterministic view of the role that institutions play in shaping social action, to focus more on the role of agency and interests, and to suggest the need to explore the interconnections between countries in more detail. The article uses this modified VofC framework to examine the extent to which it can help explain recent developments in two countries: the United Kingdom and Germany. It concludes by outlining suggestions for further research.

In the last few years, it is observed a rise in the service sector in countries and an increase in international services transactions has accompanied this expansion. Thus, the main objective of this work is to measure the services value added in exports from Brazil and the United Kingdom, from 2000 to 2014, and do a comparative analysis to identify the role of services systemically. The results indicate a clear difference among the countries analysed with regard to exports in the service sector, while for Brazil the sector can be considered as an intermediate input for exports from the non-service sectors; to the United Kingdom, as final exported product. Also, it is concluded that the service sector has been gaining space and importance for the Brazilian economy, indicating a latent potential of the sector in promoting the country's economic growth and, therefore, cannot be treated as a secondary player by public policies of development.

Director tenure attracts attention worldwide and is increasingly being recognised as a crucial element in assessing an external (independent non-executive) director’s independence. Director tenure has recently come under the spotlight in South Africa. Shareholder activists are expressing disapproval of lengthy tenures of directors serving on boards of listed public companies and exerting pressure on long-serving directors to resign from office. This article examines whether the South African corporate governance principles regulating director tenure are adequate or in need of revision. The article examines further the corporate governance practices in leading jurisdictions such as the United Kingdom, Malaysia, Singapore, Hong Kong, and India that have recently revised their corporate governance practices. It then makes recommendations for enhancing the South African corporate governance approach to director tenure. It also calls on directors to collaborate with shareholders and independent external experts to examine their approach to director tenure and, if circumstances allow, revise the company’s memorandum of incorporation to limit directors’ tenure or provide for a staggered rotation of directors on the board.

The COVID-19 pandemic has posed an unprecedented challenge, with governments resorting to different legal strategies to respond to the health emergency. This article offers a cross-cuting comparative analysis of measures taken during first six months of the pandemic (the “first wave”) in four European jurisdictions with significantly different constitutional settlements – namely France, Germany, Italy, and the United Kingdom. It explores the influence of specific constitutional features on the legal responses to the pandemic and how, in turn, these responses have the potential to reconfigure the institutional frameworks in place. The inquiry, which unfolds along the analytical categories of (i) legal basis, (ii) horizontal and (iii) vertical allocation of power, and (iv) the role of the judiciary, shows that both constitutional contexts and legal traditions play a significant role in pandemic times and are, moreover, likely to continue shaping post-pandemic governance patterns.

A nationwide investigation into stress among teachers in the United Kingdom, found teachers to be reporting stress-related problems which were far higher than those of the population norms and other comparable occupational groups. Job stress can be influenced by personal factors (Matteson & Ivancevich, 1999). The present study examined the role of demographic variables as the moderator between organizational variables and job stress. A sample size of 177 teachers participated in this study revealed that teachers in Tawau and Lahad Datu experienced low stress levels. This study found that demographic variables do not serve as the moderator between organizational variables and job stress.
