Public Corporate Governance Kodizes für nachhaltige Daseinsvorsorge und Vertrauen in den Staat: Qualitätsmodell und Diffusion von Governance-Standards

Selbstregulierung ist ein Policy-Instrument und Governance-Mechanismus von zentraler Bedeutung zur Erreichung von Politik- und Organisationszielen. Die Relevanz wird im Kontext öffentlicher Unternehmen für nachhaltige Daseinsvorsorge und Vertrauen in den Staat einschlägig betont. Obwohl über 50 deutsche Gebietskörperschaften Selbstregulierung mit Public Corporate Governance Kodizes (PCGKs) etabliert haben, ist die Diffusion von Governance-Standards in diesem Kontext kaum erforscht. Für die wissenschaftliche Debatte um Konvergenz und Divergenz entwickelt dieser Artikel ein Qualitätsmodell zur differenzierten Analyse von Diffusionsmustern in PCGKs und analysiert die PCGKs von Bund, Landeshauptstädten und Stadtstaaten. Die Studie erweitert das theoretische Verständnis zur Diffusion von Governance-Standards im öffentlichen Sektor und zeigt, dass die Diffusion im Vergleich von PCGKs sowie einzelnen Regelungsfeldern (z. B. Geschäftsführungsorgan, Aufsichtsorgan) sehr unterschiedlich ausgeprägt ist und einschlägige Anforderungen bislang nur teilweise erfüllt werden. Abschließend werden Perspektiven zur Erforschung von Determinanten der Qualität von PCGKs und potenziellen Effekten von Qualitätsunterschieden abgeleitet.

Public corporate governance of municipal enterprises is a concept of corporate management and control that is already being applied in municipal practice, but has not yet become comprehensively established as a management concept in municipalities. The work presents the legal basis of this concept and shows the obstacles that legally and actually stand in its way. With the developed model code for the municipalities in Baden-Württemberg, a practical solution is presented, by means of which a uniform Public Corporate Governance can be implemented in privately and publicly owned municipal enterprises without great effort.

In light of the relevance of state-owned enterprises (SOEs) for society and the serious governance challenges facing them, public corporate governance (PCG) is a crucial issue for scholars and practitioners. PCG can be defined as the legal and factual regulatory framework for control, supervision, and management of public organisations with independent economic management. This chapter outlines the basic concepts of PCG, major PCG challenges, and the potential and diffusion of public corporate governance codes. Furthermore, it shows the need for more empirical research and research perspectives for the PCG field to contribute to policy-making.
