The transnationalization of economic activities has fundamentally altered the world. One of the consequences that has intrigued scholars is the formation of a transnational corporate elite. While the literature tends to focus on the topology of the transnational board interlock network, little is known about its driving mechanisms. This article asks the question: what are the trajectories that corporate elites follow in driving the expansion of this network? To answer this, the authors employ a novel approach that models the transnationalization of elites using their board appointment sequences. The findings show that there are six transnationalization trajectories corporate elites follow to expand the network. The authors argue that while the transnational elite network appears as a global social structure, its generating mechanisms are regionally organized. This corroborates earlier findings on the fragmentation of the global network of corporate control, but also provides insights into how this network was shaped over time.

Research has indicated limited effects of formal governance measures on securities fraud prevention in emerging markets due to the weak rule of law. We propose that hierarchical inconsistency, misaligned rank ordering in formal organizational and informal social hierarchies of the corporate elite, can provide a novel monitoring mechanism to reduce securities fraud. Leaders at the top of the two inconsistent hierarchies can feel distressed and motivated to engage in contestation and challenge each other’s authority, thus providing checks and balances and preventing groupthink. This monitoring effect is likely to be stronger when either of the two heads has dominant and unequivocal superiority in their respective hierarchy, making them particularly distressed by the hierarchical inconsistency and prone to contest. We test our argument in the context of publicly listed family-controlled firms in China, where business and family hierarchies may confer superiority to different individuals. Our study contributes to the corporate securities fraud literature by understanding how formal organizational structures and informal social relationships interact and jointly influence governance effectiveness in emerging markets.

This article considers the interdependence of managerial capitalism with the historical constitution of professional work in Australia. Using data on the composition of the boards of Australia’s largest companies between 1910 and 2018, we show a deep connection between the managerial class and the top layers of professional hierarchies. Professionals in Australia forged a managerial-capitalist elite within large corporations, relying on a combination of professional expertise and signals of legitimacy that were enabled through higher education and accreditation structures. Relatively low levels of professional enclosure in the late nineteenth and early twentieth centuries created opportunities for Australians from middle- and working-class backgrounds to move into the capitalist elite. These opportunities were reduced significantly from the 1980s onwards as pathways to managerial roles themselves enclosed and as managerialism - as a mode of production - increasingly dominated global capitalism. The result was that by the end of the twentieth century, Australia’s corporate elite more closely resembled the rest of the world’s in its homogeneity and inaccessibility. This demonstrates the central role of professions in the reproduction of Australian capitalism over time, and the influence of professional enclosure on social mobility and inequality.
