Purpose Luxembourg is the jurisdiction of choice for many private equity and venture capital investors/funds. Though the optimum balance of financing instruments in relation to any structure varies according to its particular circumstances, one factor that all Luxembourg domiciled FDI structures have in common is the requirement for an appropriate level of equity investment. This article intends to summarize some of the topics frequently encountered in relation to equity structuring choices. Design/methodology/approach Author details the different steps and choices available to investors and funds. The article offers answers to questions to provide a broad, yet detailed, overview of the process and journey; from selecting the vehicle right through to distributing to investors, governance, and compliance. Findings To avoid an expensive mistake, it is paramount that the private equity or venture capital investors and management team receive detailed advice to ensure: (i) the deal is structured in the most tax efficient manner possible and the commercial deal is suitable for all parties, and (ii) the deal is structured in a manner which is effective under Luxembourg law, for both tax and legal purposes. Practical implications It is important that non-Luxembourg lawyers are able to identify key issues when negotiating the terms of the investment documents, in particular, the articles of association and shareholders' agreement. The current academic debate on the sharing economy (SE) seems to embrace three main discussions: its definition, its effects, and the role of regulation. A neglected topic here seems to be analyzing the specific implications of the changing nature of these firms boosted by private equity and venture capital. As the author points out, we need to analyze not only the impact of a changing business model but, specifically, how stakeholders, cities, and regulators should approach this moving target now called SE. In the following sections the author departs from a traditional definition of the sharing economy to start building the case for treating the SE at large as an epiphenomenon of the platform economy, and as a temporary condition based on a moveable business model. The chapter closes by introducing the regulatory hurdles that come associated with the previous and mapping out its different futures.

The Anglo-Saxon axis. An empirical analysis of buy-outs and location structures of private equity firms in Germany. The current research suggests that equity investment firms in Germany are concentrated in five or six regional centres of equal importance. While the theoretical discussion focuses primarily on venture capital, empirical studies on locations of venture capital and buy-outs usually make no explicit distinction between the two forms of investment. The analysis presented here makes a systematic distinction between venture capital and buy-outs, with a special focus on buy-outs because this form of investment is of greater economic importance. The paper also extends the range of available data by including data on company transactions. An evaluation of all buy-outs in Germany in 2012 indicates that Munich is the only major location of buy-out firms in Germany, apart from Frankfurt am Main. The branch offices of equity investment firms based in the USA and the United Kingdom (UK) are a crucial factor. Moreover, many private equity firms operate directly from outside Germany, particularly from London. Thus, one might speak of an Anglo-Saxon axis of buy-out firms. These firms have a significant competitive advantage due to better fundraising opportunities in the financialised economies of the USA and the UK. Therefore, it is argued that, rather than focusing exclusively on the regional capital supply to explain the infrastructure of equity investment firms, as it was done in the past, the research should also take the organization of sources of funds into consideration.

Abstract Sources of capital to finance companies in the SME sector is one of the basic conditions for the functioning and development of enterprises, especially in the early phase of their development. Increasingly popular is the use of capital market instruments, Private Equity, Venture Capital, Business Angels or Mezzanine. Funding of this kind can finance risky investments in return for a higher expected rate of return on capital. Access to financial resources and the conditions under which entrepreneurs can use them can determine the introduction of new technology, new products and services, expand distribution channels, implement changes that may lead to the growth in competitiveness and above all, innovation, thus the growth of the company. The paper presents results of statistical analysis of the venture capital and private equity funds investment strategies in selected countries. As a result investment profiles are created.
