RESUMENEn el presente documento se introducen y analizan algunas de las variables a tener en cuenta en cualquier estudio de viabilidad referente a la inversión de capital privado de banca colombiana en el sector bancario español, planteando un modelo de negocio que permita alcanzar dicha viabilidad financiera de una forma sostenible mediante un formato de banco colombiano bajo la supervisión del Banco de España. Se plantean, así mismo, los requisitos y regulaciones a cumplir, incluyendo un diagnóstico del entorno económico y de la perspectiva del mercado financiero de captación y colocación bancaria española, así como sus portafolios y estrategias de marketing en un horizonte financiero a cinco años.ABSTRACTIn the present work some of the variables to be considered in any viability study concerning private equity investment of Colombian banks in the Spanish banking sector are introduced and discussed. Further, it proposes a business model that allows sustainable financial viability through a format of Colombian bank under the supervision of the Bank of Spain. Purpose Luxembourg is the jurisdiction of choice for many private equity and venture capital investors/funds. Though the optimum balance of financing instruments in relation to any structure varies according to its particular circumstances, one factor that all Luxembourg domiciled FDI structures have in common is the requirement for an appropriate level of equity investment. This article intends to summarize some of the topics frequently encountered in relation to equity structuring choices. Design/methodology/approach Author details the different steps and choices available to investors and funds. The article offers answers to questions to provide a broad, yet detailed, overview of the process and journey; from selecting the vehicle right through to distributing to investors, governance, and compliance. Findings To avoid an expensive mistake, it is paramount that the private equity or venture capital investors and management team receive detailed advice to ensure: (i) the deal is structured in the most tax efficient manner possible and the commercial deal is suitable for all parties, and (ii) the deal is structured in a manner which is effective under Luxembourg law, for both tax and legal purposes. Practical implications It is important that non-Luxembourg lawyers are able to identify key issues when negotiating the terms of the investment documents, in particular, the articles of association and shareholders' agreement. Originality/value Practical guidance from Luxembourg lawyer specializing in corporate law, mergers and acquisitions, venture capital and private equity transactions.


The study investigated the impact of macroeconomic variables on private investment in Nigeria for the period 1990 to 2016. To achieve these objectives, the study tests for the study modeled private equity and private real investment as the function exchange rate, financial sector development, and interest rate, openness of the economy, real gross domestic product, inflation rate and broad money supply. Ordinary least square method of data analysis was used. From model one, the study found that real gross domestic product have positive but insignificant effect, openness of the economy have positive and insignificant effect, interest rate have positive and significant effect, financial deepening have positive and insignificant effect while interest rate, inflation rate and exchange rate have negative effect on private real investment. The coefficient of determination (R2) proved that the independent variables can explain 62 percent variation on private real investment; the f- statistics found that the model is significant while the Durbin Watson statistics proved the presence of serial autocorrelation. The effect of macroeconomic variables on private equity investment was presented in model two. The study found that openness of the economy; real gross domestic products, broad money supply, and interest rate have negative and insignificant effect on private equity investment except openness of the economy with significant effect. Inflation rate, financial sector deepening and exchange rate have positive and insignificant effect on private equity investment except financial deepening with significant effect. The R2 proved that the independent variables can predict 66.9 percent variation on private equity investment. The f- statistics found that the model is significant while the Durbin Watson statistics proved the presence of serial autocorrelation. We conclude that macroeconomic variable have significant effect on private investment in Nigeria. We recommend that interest rate must be able to encourage higher private investment by increasing the real interstate on private savings or household savings so that larger amount of income would be saved to accumulate more capital and hence private investment. Policies should be formulated by investors and government to discourage factors that affect negatively private investment.

Sea transportation is a major factor connecting the islands of Indonesia which has strategic and important value in supporting the sustainability of the national economy. Along with the government's policy on the sea highway program and the development of the domestic shipping industry, the growth of the commercial fleet, especially vessels, is currently experiencing rapid progress. In supporting the government program and the demand for reparation and procurement of new ships in domestic production, readiness is required from the shipyard. However, the current condition of the shipyard is only able to meet 83% of the demand for new shipbuilding so that the shipyard still needs to be developed in order to improve its capabilities, so that it can meet the needs and be able to carry out its functions in accordance with the progress of shipping technology. In this study discusses the strategy of developing shipbuilding using qualitative descriptive methods and quantitative SWOT analysis. In this case study shipyard development strategy by increasing the ability of shipyards to meet the demands of ship building by increasing supporting facilities and accompanied by increasing the ability of human resources in the mastery of science and technology. “Africa‟s not for sissies” is what one often hears when discussing business conditions in sub-Saharan Africa (SSA). However, the good news is that the new millennium increasingly exhibits significant trends in support of the notion that a reversal of SSA‟s fortunes is underway: annual GDP growth in the region is well ahead of the global average, civil wars in the region have largely come to an end and, for two years running, private equity investment flows into the region have surpassed that of foreign aid, Africa‟s traditional „crutch‟. Importantly, a small band of early-mover Multinational Corporations (MNCs) are making their presence felt in the region and beginning to make good profits. These firms include the likes of Diageo, The Coca-Cola Company, MTN and SABMiller. The purpose of this article is to research the nature and the changing face of the MNC, impact on globalization and Foreign Direct Investment (FDI), and some MNC strategies to enter foreign markets.
