Recent research suggests that one of the main motivations for mergers and acquisitions is the attempt to acquire companies to incorporate intangible assets. Such assets provide important sources of sustainable competitive advantages and opportunities for growth. This article analyzes the strategies of engineering companies, as well as value creation in acquisition events of multinational companies, by using the study of the events method, providing an innovative way to be applied to this phenomenon. This method is used in our research to study the influence of the announcement of acquisitions on the abnormal accumulated returns of the acquiring companies, and is allowed to confirm that influence. In general, the average accumulated returns were positive and statistically significant in the three windows of the method, according to the significance tests used. The results validate the hypothesis that the events generate synergy gains for market players, emphasizing the importance of growth via acquisitions for the sector under analysis.

Although green innovation strategy (GIS) is the driving force for the sustainable development of enterprises, while the strategy is implemented, an increased cost and a change in organizational routines will cause an organization to become fragile, and even affect the sustainable competitive advantages. So, the purpose of this paper is to explore the impact path of GIS on sustainable competitive advantages and the implementation boundary of GIS. To explain the impact path, we consider the concept of dynamic capabilities to be the mediator variable. To explain the implementation boundary of GIS, we systematically explore the relationships among GIS, dynamic capabilities and sustainable competitive advantages under different levels of environmental uncertainty. Based on 241 new Chinese green firms, the empirical results find that GIS helps enterprises to gain sustainable competitive advantages. However, in the process of strategy implementation, enterprises should choose appropriate methods according to different degrees of environmental uncertainty. In a low environmental uncertainty, dynamic capabilities play a full intermediary role between GIS and sustainable competitive advantages. However, in a high environmental uncertainty, dynamic capabilities have no mediating effect between GIS and sustainable competitive advantages. This study not only integrates green management theory and strategic management theory but also makes up for the deficiencies in research on these theories and has important reference value for enterprises that seek to carry out green innovation activities.

This paper investigates the impact of an acquirer’s experience on the acquisition of private firms (i.e., private target acquisition) in high-technology industries by analyzing a dataset of NASDAQ-listed firms operating in information technology (IT) industries. Specifically, this paper examines whether two types of experience (i.e., early venture capital (VC)-backed experience and prior mergers and acquisitions (M&A) experience) matter to the acquisition. We find that both types of experience have positive effects on private target acquisition, while only prior M&A experience positively influences public target acquisition, implying that early VC-backed experience is effective in mitigating information asymmetry related to private target acquisition and exploring opportunities for value creation. We also find that an acquirer’s growth performance and absorptive capacity prior to the acquisition enhance the positive effects of the experiences on private target acquisition.

The purpose of the study. Assessment of the impact the COVID-19 pandemic on the quality of education based on a study of the implementation of e-learning technologies using digital platforms in both foreign and Kazakhstani universities.Methodology. Problems related to online learning and possible solutions were identified based on a retrospective and comparative analysis of foreign and Kazakhstan scientific research. Scientific literature search was carried out in large databases: Researchgate, Springer, ScienceDirect. During the search, 481 scientific articles were found that matched the entered search parameters. Given the inclusion and exclusion criteria, 465 papers were screened out, and the remaining 16 were sent for analysis.Originality / value of the research. Along with identifying barriers to the introduction of e-learning, the main factors during the COVID-19 pandemic were identified that influenced the effectiveness of the educational process. The study revealed that digital platforms create sustainable competitive advantages and are the main tool for modernizing the learning process.Findings. As a result of the study, the most significant factors related to technological knowledge management, as well as the level of readiness of universities, teachers and students to implement e-learning, were identified.

In this paper, we empirically investigate the impact of mergers and acquisitions on French bank performance. Performance is measured by potential gains in efficiency and value creation. We first analyzed efficiency using the data envelopment analysis (DEA) under input oriented with variable returns to scale to obtain the efficiency scores. Second, we analyzed the impact on French bank value creation following mergers-acquisitions operations of a set of control variables (model 1) and explicative variables measuring strategic similarities between bidders and targets (model 2). The sample studied is composed of French bank mergers-acquisitions happening between 1996 and 2006 and implying one of the 14 greatest French banking groups. Empirical result showed that mergers and acquisitions have been traduced by an improvement in the overall efficiency by 17.82% and a shareholder value reduction by 5.14%.

Purpose - This paper aims to discuss the challenges the switch from US GAAP into International Financial Reporting Standards (IFRS) pose multinational companies (MNCs); to investigate the transfer pricing of intangible assets with several important trends in the global market; to analyze and discuss the impact of the conversion on intangible assets’ transfer pricing decisions; and to make recommendations to help alleviate problems associated with transfer pricing when switching to IFRS. Design/methodology/approach - The author addresses the conflicts between using the International Financial Reporting Standards and the transfer pricing policies as the multinational companies make the switch from using GAAP to the IFRS and propose some remedies to the related problems. Findings - Transfer pricing systems of MNCs should be carefully reviewed and updated because financial statement information is used and comparability of that information between tested parties and companies to which they are compared is critical to achieving a reliable analysis to help MNCs achieving their global strategic objectives. Research limitations/implications - This research focused on the significant implications on the American MNCs’ transfer pricing strategic decisions resulting from the adoption of the IFRS in general. Further research is still needed to examine the impact of the conversion process on both foreign subsidiaries and the MNC as a whole in different industries.  Originality/value - The paper addresses an issue of significant implications on transfer pricing strategic decisions of intangible assets beyond financial reporting as a result of converting financial statements from U.S. GAAP to IFRS.

The ability of an organisation to govern knowledge assets dynamics lies at the core of an organisation’s value creation capacity. A key challenge both for researchers and for practitioners is to understand how to manage and measure knowledge assets dynamics. In this chapter three fundamental management processes affecting the knowledge-based strategies for business value creation are introduced. They provide the conceptual background to understand how to measure and manage knowledge assets within organisations. The three processes are ‘identification and measurement of knowledge assets’, ‘mapping knowledge assets’ and ‘managing knowledge assets flows’. The ability of an organisation to gain sustainable competitive advantages is related to the capacity of mastering these processes. Each process is analysed introducing the possible frameworks which can inspire both scholars investigating the microfoundations of organisational knowledge dynamics, and for practitioners looking for approaches for leveraging knowledge assets to drive the enhancement of organisational value creation.

Subject. The article discusses the specifics of innovative subsystems within national catch-up economic systems, while AI technologies gain momentum. Objectives. The study evaluates mechanisms the State uses to provide aid to innovative subsystems in national catch-up systems. I determine characteristics of the general mechanism for supporting the transformation of intellectual property into intangible assets in national catch-up economic systems, and unveil distinctions of such systems. Methods. The study relies upon methods of logic, statistical analysis. Results. What distinguishes the development of innovative subsystems in national catch-up economic systems and local catch-up socio-economic systems is the focus of the national policy on high-tech export and generation of their own intellectual property to covert it into intangible assets that are usually concentrated by multinational companies of the country. Conclusions and Relevance. Being the main exporters of high-tech products, multinational companies with national economic subsystems and local catch-up socio-economic subsystems deal with the patent protection of their intellectual property worldwide. The open innovation method is a distinctive characteristic of such subsystems. It proves to be very effective in China, South Korea, Japan as large business and multinational companies rapidly evolve, using their own intellectual property and converting them into intangible assets through the AI technologies.

Subject. This article discusses the issues related to the implementation of the National project Digital Economy of the Russian Federation in the regions of Russia. Objectives. The article aims to develop and test a methodological approach to assessing the impact of the economy digitalization on the level of competition capacity of the areas, and justify practical recommendations on its use in the system of regional management. Methods. For the study, I used a correlation analysis, dialectical and systems approaches, and the table procedure of information interpretation. Results. The article proposes a developed and tested methodological approach to assessing the impact of the economy digitalization on the level of sustainability of the competitive advantages of regions. The classification of regions by level of competitiveness, informatization and digitalization is presented. The article also offers a set of activities aimed at developing the digital economy taking into account new challenges for each type of regions. Conclusions. The article concludes that there is a directly proportional relationship between the level of digitalization of the region and its stable ability to compete. To improve the system of regional management in the aspect of the digital economy development, the proposed set of measures is needed, which can help raise the country's competitive capacity in the medium term.
