AbstractIn this case study we address the issue of CEO succession drawing directly on the experience of the board of directors of Air New Zealand. Despite extensive literature on CEO-board relations, there has been a scarce number of studies on managing the processes of CEO succession and appointment from the board perspective. Drawing on documentary sources as well as in-depth interviews with all board members and CEOs appointed in the period 2002–2013, we shed light on this important governance process primarily for teaching purposes. We emphasise the board’s role in the context of the transformation of the airline into an award-winning, financially performing company in a highly competitive and mature industry. The case study examines how the board developed, implemented, and managed a succession process for three CEOs that was sound in design and achieved its desired benefits. By focusing on board leadership and board processes our case study provides evidence that independent boards can shape a specific combination of governance practices which contribute to successful CEO transitions.

<p>Through a specific historical case study, Another Elderly Lady to be Knocked Down applies discourse theory and the Authorised Heritage Discourse (AHD) to the context of urban built heritage in Aotearoa New Zealand. Previously, only limited work had been done in this area. By examining an underexplored event this dissertation fills two gaps in present literature: the history of the event itself and identification of the heritage discourses in the country at the time. Examination of these discourses in context also allows conclusions about the use of the AHD in similar studies to be critically examined.  In 1986 the Missions to Seamen building in Wellington, New Zealand, was threatened with demolition by its government owners. In a remarkable display of popular sentiment, individuals, organisations, the Wellington City Council (WCC) and the New Zealand Historic Places Trust (NZHPT) worked together to oppose this unpopular decision. This protest was a seminal event in the history of heritage in New Zealand.  This study relies upon documentary sources, especially the archival records of the Historic Places Trust and the State Services Commission, who owned the building, to provide the history of this watershed moment in New Zealand’s preservation movement. The prevalent attitudes of different groups in Wellington are examined through the letters of protest they wrote at the time. When analysed in context, these discourses reveal the ways in which heritage was articulated and constructed.  The course of this dissertation has revealed the difficulty of identifying an AHD in this context. The level of collaboration between ‘official’ and ‘unofficial’ heritage perspectives, and the extent to which they shaped each other’s language, creates considerable difficulty in distinguishing between discreet discourses. To better explore the ways that heritage meaning is constructed and articulated, heritage must be recognised as a complex dynamic process.</p>

This article uses two case law examples (New Zealand and South Africa), to illustrate how a questionnaire could be developed in practice as a method to identify a breach of ethics with reference to King IV, the FMA handbook and the NZX code. These two cases use terminology as found in relevant corporate governance codes and illustrate how to interpret those terminologies correctly, i.e. in terms of honesty and integrity. Relevant literature is reviewed in reference to the two case law examples. To interpret a corporate governance term properly, reference should also be made to appropriate legislation, e.g., the Companies Act when drafting a questionnaire. To understand corporate governance codes a holistic view should be adopted by the board of directors when drafting a corporate governance questionnaire. Such a questionnaire could provide the necessary insight as a method to prevent unethical business behaviour in future.

William Smyth, unable to get work in a New Zealand museum, ran a commercial taxidermy business at Caversham, Dunedin, from about 1873 to 1911 or 1912. His two decades of correspondence with Thomas Frederic Cheeseman at the Auckland Museum provide a case study of Smyth's professional interaction with one of New Zealand's main museums. We have used this and other sources to paint a picture of Smyth's activities and achievements during a time when there was great interest in New Zealand birds but few local taxidermists to preserve their bodies. Besides the Auckland Museum, Smyth supplied specimens to various people with museum connections, including Georg Thilenius (Germany) and Walter Lawry Buller (New Zealand). Smyth was probably self-taught, and his standards of preparation and labelling were variable, but he left a legacy for the historical documentation of New Zealand ornithology by the large number of his bird specimens that now reside in public museum collections in New Zealand and elsewhere.

This chapter continues to analyze the relationship between decision and action using a case study on Swedish Rail (Statens Järnvägar, SJ). In February 1987, the board of directors of SJ met to consider a plan drawn up by an international consultancy company to implement a radical reform, the ‘New SJ’. The basic idea was to make the company more businesslike. SJ was to be run as a company and not as a government service, and its corporate aim was to be a profitable business. The chapter addresses the question of why reforms may be difficult to implement. It suggests that there are certain fundamental and common characteristics of administrative reforms which make them difficult to implement by nature.
