O presente estudo tem como objetivo analisar as relações de poder e a responsabilidade do acionista controlador, conjuntamente com suas ações correlatas, nas sociedades anônimas. Serão analisados quais os modelos de controle na sociedade anônima, os deveres e responsabilidades do controlador e os tipos de ação para sua responsabilização em caso de abuso do poder desse controle. Um caso real foi apresentado para demonstrar como é possível discutir a responsabilidade do controlador por possível abuso na companhia. Foram utilizados os métodos dedutivo, com análise legislativa e doutrinária e o empírico. ABSTRACTThis study aims to analyze the power relations and the responsibility of the controlling shareholder, together with their related actions, in public limited companies. It will be analyzed what are the types of control in the corporation, the duties, and responsibilities of the controller and what are the types of actions for its accountability in case of abuse of the control power. A real case was presented to demonstrate how it is possible to discuss the controller's responsibility for possible abuse in the company. Deductive methods were used, with legislative and doctrinal and empirical analysis.

This research focuses on analyzing the discourse of the power relation between the state and the people in Indonesia in the lyrics of the songs "Kami Belum Tentu" and "Padi Milik Rakyat" by Feast (group band). Intolerance became Indonesia main concern in 2018 especially Surabaya’s church bombing, which then elaborated on other issues related to the socio- economic and political phenomena in Indonesia. The two songs were chosen because they adequately describe the socio-economic and political conditions in Indonesia and related to various sectors of government.This study uses Normal Fairclough's critical discourse analysis method to read the discourse on power relations between the state and the people which is articulated in the lyrics of the two songs. The results of this study conclude that the discourse on power relations with the form of Governmentality is spread in various areas of government, including in the leadership of a democratic country, the education system in Indonesia, the law constitution of UU ITE, towards farm workers through Reforma Agraria, and also in the management of tax money in Indonesia. The people will always be in a repressive state power system and the state uses its political power to carry out hegemonic submissions that are detrimental to the people structurally and economically through the ISA (Ideological State Apparatus) and RSA (Repressive State Apparatus) which critized in Indonesian indie song lyric.


It is argued in the article that a number of modern psychotherapeutic directions represent in fact scientific-ideologic communities and an attempt is done to demarcate scientific and ideologic knowledge in these psychotherapeutic approaches and to identify the degree of their ideologization. In the course of theoretical and empirical analysis of the relationship of ideology and scientific knowledge in modern psychotherapeutic concepts, it has been shown that the culture conformable and behavioral approaches meet fewer ideological characteristics, indicating a lower level of data ideologized psychotherapeutic approaches.

Purpose This paper aims to explore the influence of founder shareholders’ resources on the allocation of control rights from the perspective of incomplete contract theory and resource-based theory. Design/methodology/approach This paper analyzes newspaper materials with NVivo11on a case of battle for corporate control in Chinese top-listed company-Vanke Group. Findings The research shows that human capital is the key resource and the holding proportion of financial resources directly affects the allocation of control rights. At the same time, social capital is unstable and easily broken. At last, institutional environment also affects the degree between the relationship of founder shareholders’ resources and the allocation of control rights. The influence of founder-shareholder resources on the allocation of control rights follows the path of “crisis – founder-shareholder’s resources – founder’s ability - allocation of control rights.” Research limitations/implications This study only selects the financial capital, human capital and social capital of Shi Wang, the founder of Vanke, as the analysis object. The study can expand the types of founder shareholder resources to verify and enrich the conclusions. Originality/value The current theoretical research in the literature focuses on the necessity of equity and shareholder’s resources versus the control rights. Some key factors and mechanism on the relationship have not been fully clarified. The results of this paper not only extend the combination research of social network and corporate governance, but also provide enterprise founders with references for making reasonable decisions during control battle.

AbstractIn the context of the new automatic enrolment requirements for all eligible employees to make pension provision for their employees, and the importance of trust in pension provision, this article utilises data from the Scottish Social Attitudes Survey, which, in its 2005 wave, asked correspondents specific questions regarding pension provision. We integrate two different empirical approaches in order to achieve a more robust understanding of pension confusion in Scotland. We find that pension confusion is dominated by pension uncertainty and myopia, but these may be reduced for those working in the financial sector. We consider the implications of these findings for the relationship of trust between employers and their employees, as well as for trust in government pension policy more generally.
