Agricultural development is a determining factor in ensuring food security. The intensification and innovation of agriculture is a prerequisite for meeting the food needs of the world’s population. Any innovative activity is Entrepreneurial and is based on the search for new ideas and their assessment; finding the necessary resources; Enterprise creation and management; receiving cash income, and personal satisfaction with the achieved result. The specificity of innovation is its riskiness, so often, investors simply ignore insufficiently substantiated projects. Currently, the due diligence procedure is gaining popularity, during which an investment study is carried out to establish the risks of a proposed capital transaction and develop a competent mayor to manage them. In the article, the authors considered the features and difficulties of marketing for startups and innovations in agricultural entrepreneurship and proposed a due diligence procedure to improve it. Due diligence is actions aimed at obtaining an objective picture of the object of financing. Due diligence is necessary both before investing, merging or buying a company and before starting any kind of cooperation with startups and innovations. The authors considered introducing the due diligence procedure and alternative ways of acquiring a business, indicated and analyzed the main stages of the financial due diligence procedure, and gave an example of the report of the diligence procedure for an agricultural startup.

Today, companies have to face new challanges because of the globalization, new technologies, globalization of markets and increasing competition. In this accelerated world, it is essential that the companies adapt to the market, which is only available through the necessary information. The importance of market research is undoubted. In our study we would like to prove that in case of a beginner company — in this case a confectionery — it is important to perform a market research like for a company in any other segment. To perform it, the qualitative market research methods were used. Our questionnaire examines several aspects in order to provide an indication of the company’s founding.

Today, the degree of agricultural development, and, in the future, the level of national food security, the public health and the quality of life, are largely ensured by innovative developments in the field of alternative agriculture, the preservation of natural resources and, above all, the main production facility – land. At the same time, the unfilled market capacity of organic products and the significant land potential for the development of organic farming create all the necessary prerequisites for enhancing the competitiveness of Russian rural producers. The development of agricultural entrepreneurship towards the greening of land use, organic production and development of the domestic market for organic (ecological) products in the format of zonal agro-eco clusters is one of the strategic directions for implementing reforms in the agricultural sector. The paper presents the directions of the formation and development of zonal agro-eco clusters for the production, processing and sale of organic products in the agricultural regions of Russia.

AbstractThis paper analyzes the main challenges nanotech start-ups face in turning nanotech inventions into valuable and marketable nanotech innovations, also considering that nanotechnology discoveries could represent “inventions of methods of inventing” (Rothaermel et al., 2007). In the last decades, nanotechnologies have been a burgeoning area of science and engineering which show an increasing potential to transform a broad range of industries, and to boost the US and European firms' competitiveness (OECD, 1998). Although these emerging technologies share some problems with new ventures in other emerging industries ( e.g. biotech), nanotechnology firms have to balance the management of high technical and high market risk, still evolving regulatory frameworks (Bowman et al. 2006) and strategies for entering the business network and for attracting investments, e.g. in the form of potential venture capitalists. Potential investors, in turn, will face the well-known hurdle of the due diligence, considering for example health or safety concerns, manufacturing, availability of distribution channels, etc. (Burden, 2007).We propose that configuring their network and choosing the right market segment are the key strategies nanotech ventures should adopt in pushing their early growth in the global market. We analyze a sample of 15 European nanotech firms which confirm our predictions. Due to the novelty of the topic covered in this study, this research is exploratory in nature.

This paper aims to challenge the conventional wisdom in finance by studying the success factors of the development of unicorn companies as the most successful and fastest-growing start-ups/ established firms. Romania is now on the map of the International Unicorn Club, with two young Unicorns in technology, since 2018. The purpose of the paper is to analyze mergers and acquisitions and companies valued more than $1B. The research questions to be answered are: What is the value of control in mergers and acquisitions? Why the initial estimates of a company’s value can be very wrong? The market approach in this research allows the readers understand the context of the phenomena analyzed and the information on comparable transactions. The work to be discussed in the paper is the importance of choosing one valuable objective of the company, in the context of the theory of the value maximization as the single important objective of a company. The model of enterprise value for listed companies should encompass a market variable, such as the value of financing a sector gets and the ownership (control) variable

This research has been done to identify changes in agricultural land to non-agriculture causing the establishment of illegal settlements. Viewed from the standpoint of nature this research is descriptive research, carried out in order to help in strengthening old theories or within the framework of developing new theories. Research locations are in the Office of the Regional Planning, Research and Development (BP3D) Boyolali Regency and Boyolali Regency Agriculture Office. Data collection was carried out by interview and literature study. Data analysis technique is done by data reduction, data display and conclusion. The results show that agricultural development will occur if land problems over the conversion of agricultural land into settlements are unavoidable or need to find a solution to a problem that is very urgent, this is by studying the impact of the problem and socializing the community over these impacts and their resolution to obtain clarity of land legality the conversion. When land starts to shrink, domestic food needs will decrease because population growth cannot be avoided every year. For this reason, immediate special handling is needed, such as direct counseling for the community. Will be danger of land conversion is carried out continuously. Development of the latest technology is needed to manage the land so that fertility does not decrease quickly so as to reduce land productivity. Another way replacement of agricultural land which is used as an alternative handling of the legality problem of conversion of agricultural land.

Internal control system in a company is one form of action used to safeguard property owned by the company. The existence of an internal control system is expected to prevent the risk of errors occurring either intentional or without the element of intent. The risk of such errors can be derived from the various parties concerned. This is one reason that good procurement control system in an accounting system in this case is in the system of cash receipts. From the observation while at Kimia Farma 307 Banyuwangi seen that in a system of cash receipts from cash income services namely health checks and cash sales are still very modest. The accounting system of the cash receipts of the business activity is only using the document pickup. When viewed from the frequency of sales and service checks every day, the system that has been used is deemed to be less effective in terms of internal controls. This study aims to determine in real terms how the internal control system of cash receipts and evaluation of internal control systems at these pharmacies. This research uses qualitative method to analyze the data. The data obtained from three data collection methods are interview, observation and documentation. ZusammenfassungDer vorliegende Beitrag beschreibt den strukturellen Aufbau und Untersuchungsumfang einer eigenständigen Due Diligence der IT von Versicherungsunternehmen. Hierzu werden auf Basis einer umfassenden Aufarbeitung der akademischen als auch praxisorientierten Literatur die einzelnen Teilbereiche und Schwerpunktsetzungen bei der Untersuchung der Versicherungs-IT segmentiert sowie ein Ordnungsrahmen für den strukturellen Aufbau einer IT Due Diligence vorgestellt. Ebenfalls wird der idealtypische Ablauf des Analyseprozesses dargestellt und diskutiert, wie sich die Erkenntnisse einer Due Diligence der IT in der sich anschließenden Unternehmensbewertung und den Vertragsverhandlungen berücksichtigen lassen. Dabei zeigt sich, dass die Analyse der Versicherungs-IT im Rahmen einer Due Diligence-Prüfung organisatorische, technische und rechtliche Aspekte umfasst, welche in Form eigenständiger Analysefelder strukturiert werden. Die mit der Informationsverarbeitung des zu akquirierenden Unternehmens in Zusammenhang stehenden Chancen- und Risikoaspekte lassen sich entweder als IT-Integrationskosten und Synergien bei der Unternehmenswertermittlung berücksichtigen oder durch die Ausarbeitung umfangreicher Garantie- und Haftungsvereinbarungen absichern.
