Corporate Mobility as a Service (CMaaS) is a type of MaaS that enables mobility within as well as to and from a worksite for employees. The expected benefits of CMaaS are to support a shift towards more sustainable and more effective work-related transport activities. There is a lack of knowledge regarding the impacts of CMaaS and how its performance should be measured. This paper proposes an evaluation framework to measure CMaaS impacts at a system level. The proposed evaluation framework is then applied to evaluate a real CMaaS deployment in Sweden. This paper contributes to knowledge building and guidance to support policy and decision making for CMaaS development and implementation in the future.

Este artigo apresenta o resultado de pesquisa exploratória de natureza qualitativa ao investigar a mobilidade corporativa e a hospitalidade. O problema proposto na pesquisa foi: ao investigar os artigos de periódicos, quais seriam as variáveis que se encontram associadas à terminologia mobilidade corporativa? As proposições da investigação foram: (P1) as terminologias mobilidade corporativa e hospitalidade apresentam relação direta e; (P2) a terminologia mobilidade corporativa apresenta-se diretamente associada a gestão de recursos humanos e as inovações tecnológicas. O objetivo principal da pesquisa foi verificar, por meio dos artigos dispostos na Plataforma Scopus, as variáveis que associam a terminologia mobilidade corporativa com hospitalidade. Para elaboração e desenvolvimento deste estudo foram apresentados conceitos centrais da hospitalidade dispostos por autores em distintas linhas de pesquisa que mais se identificavam com a mobilidade corporativa. Em seguida, foram extraídos dados da Plataforma Scopus e para análise utilizou-se o software VOSviewer. Nos resultados é apresentado o atual estado da arte no que se refere a hospitalidade e a mobilidade corporativa, ao apresentar expressões mais e/ou menos associadas a terminologia corporate mobility.

This chapter focuses on one area where the motives of ‘promoters’ (that is, those who form a company) are relevant to the legal aspects of certain activities carried out in the company’s name, especially when they enter into contracts for the company prior to its formal registration. After defining the term ‘promoter’, the chapter discusses the fiduciary duties of promoters and the range of remedies available to the company against a promoter who breaches his fiduciary duties. It then considers problems involving contracts entered into prior to incorporation and the common law position on such contracts. It also explains pre-incorporation contracts, deeds, and obligations under section 51 of Companies Act 2006 before concluding with an analysis of the issue of corporate mobility in relation to the freedom of establishment.

In April 2018, the European Commission presented a proposal for a Directive amending Directive 2017/1132 as regards cross-border conversions, mergers and divisions. This article discusses the proposed provisions to protect the interests of employees in a cross-border operation. Their position would be strengthened since employee representatives are granted information and consultation rights. As to the protection of existing board level employee representation rights, the Proposal follows the EU legal framework on the involvement of employees, consisting of a negotiation process between representatives of the employees and the management. As Standard Rules apply if no agreement can be reached, negotiations take place with the law as a sentinel. Practice has shown that this complicated legal framework is effective in protecting existing employee participation rights. The Proposal shows that in 2019, this carefully vetted political compromise leaves EU legislators little room to manoeuvre by simplifying the framework or strengthening the position of employees.

This chapter begins with an overview of the nature and effects of EU law and the EU law-making process, with particular focus on the internal market. This is followed by an analysis of the acquis unionaire—the EU law with company law relevance at both Treaty level and the level of secondary legislation (regulations and directives). It emphasizes the trajectory of EU company law and its development in distinguishable ‘waves’. It then turns to the issue of corporate mobility within the Union, on the basis of the Court’s case law on freedom of establishment, as well as the emerging EU law infrastructure for corporate mobility transactions. The chapter concludes with some speculation about the future of EU company law in the light of Brexit.
