Human resources retention and knowledge transfer in mergers and acquisitions

AbstractMergers and acquisitions can be a mechanism used by firms to access innovative knowledge, including intellectual property, and to strengthen and expand their core capabilities. In the mergers and acquisition context, the creation of value depends on the transfer of capabilities and knowledge being carried out successfully during the post-acquisition integration process. The paper adopts this view. It examines the role of the top management and personnel who hold knowledge and skills linked to the capability of the acquired firm considered most valuable by the acquiring firm in the transfer of knowledge from the acquired firm to the acquiring firm. The paper also examines whether the impact of the retention of the acquired firm's high-value human resources (HVHR) on knowledge transfer is moderated by the degree of embeddedness of the knowledge to be transferred. Furthermore, the study identifies the factors that influence the retention of the acquired firm's HVHR. We tested the model using data from a sample of 57 domestic, related, friendly Spanish mergers and acquisitions belonging to a wide variety of industries. The results support the notion that the more embedded the knowledge, the greater the impact of the acquired firm's HVHR retention on the knowledge transfer. They also show that the autonomy granted to the acquired firm, the frequency of use of rich media among the personnel of both firms, and the acquired firm's pre-acquisition profitability are factors encouraging the acquired firm's HVHR to remain. The study contributes to the literature on knowledge transfer in mergers and acquisitions by highlighting the relevance of retention of the acquired firm's HVHR for knowledge transfer, as well as demonstrating the importance of taking into consideration the nature of the knowledge to be transferred. It also contributes to the literature on the implementation process in mergers and acquisitions by identifying factors available to managers to favor HVHR continuity in the acquiring firm or the one resulting from the merger.

Purpose The effective transfer of knowledge within an organization is critical for its sustainable competitive advantage. Based on the norm of reciprocity, it can be concluded that individuals’ primary motivation to transfer their treasured knowledge can be summarized as “trust,” that is, the individuals trust their selfless transfer behavior can be reciprocated by the recipients in the future. Design/methodology/approach In this study, a simulation model based on knowledge transfer behavior and reciprocal trust between individuals is built through agent-based modeling and simulation to investigate the factors that influence the efficiency of knowledge transfer within an organization. Findings Experiments are performed to test the impact of reciprocal trust and organizational structure on the efficiency of knowledge transfer. Originality/value The results indicate a significant role of key elements of reciprocal trust and organizational structure, which provides relevant practical guidance for both individuals and organization managers in the context of knowledge transfer.

Purpose A multinational company (MNC) looking to locate within a cluster is mainly interested in gaining access to scarce and highly valuable tacit knowledge. The transfer of such resources first requires sharing a certain degree of architectural and specific knowledge. This paper aims to examine the transfer of systemic technological expertise (specific tacit knowledge) that is incorporated into organisational practices (architectural knowledge). To quantify the level of knowledge transfer involved, the present study defines the architectural distance between the MNC and the cluster. Design/methodology/approach The mathematical expression of acquisition performance is inferred from a conceptual study that formulates hypotheses regarding the impact of these variables on knowledge transfer. The MNC chooses its location in such a way as to maximise this performance. Findings Applying a mathematical model to knowledge transfer between two of the MNC units helps to determine if the locally acquired knowledge could benefit other units of the MNC. Research limitations/implications The present study defines the architectural distance between the MNC and the cluster. This architectural distance is defined by a vector composed of social, organisational, cultural, institutional, technological and geographic distances between the new acquisition and its network of local partners, on the one hand, and the MNC, on the other. Knowledge transfer also depends on the business players’ trust and motivation. Further research through a quantitative study would be useful to improve the links between the proposed mathematical model and the efficiency of an MNC’s location within a cluster. Practical implications The solution to the optimisation problem allows to put forward a simple decision criterion to assist a manager who has to face the problem of an optimal location choice. Originality/value First, this study contributes to a better understanding of how knowledge transfer effects may interact with cluster effects, while explaining a subsidiary’s performance with regard to location. Second, it provides an interpretation of the concept of knowledge embeddedness by showing that the effective transfer of architectural and specific knowledge involves the prior sharing of a certain amount of this knowledge.

The article analyzes the impact of recent economic changes accompanying the introduction of the Structural Adjustment Programme (SAP) and ongoing cultural styles on the aged in Nigeria. It argues that during the one decade preceding the introduction of SAP in 1986, Nigeria experienced significant social and economic transformations made possible by the rise in oil prices in the 1970s. The introduction of SAP has also been accompanied by significant social, cultural, and economic changes. Here the effects of these changes on the situation of the elderly in Nigeria are examined using data pooled from observations and surveys in both the pre- and post-SAP years. Findings reveal that compared to the younger generations, the relative position of the elderly has not changed significantly, although the latter's position has deteriorated on dimensions such as access to economic and health resources. Regional and individual differentials in the situation of old people are significant during both the pre- and post-SAP era.

This study investigates black ethnic immigrant group differences in residential outcomes between developing and mature suburbs. It evaluates the extent to which foreign-born black ethnic groups’ socioeconomic status (SES) and acculturation characteristics agree with the outlines of the spatial assimilation model. Binomial logistic regression models are calculated, using data from the 2012–2016 IPUMS ACS, to examine the impact of place of birth/nativity status, SES, acculturation, family/household characteristics, and region on residence in developing versus mature suburbs within U.S. metropolitan areas. The results reveal mixed results for the expectations of the spatial assimilation model. On the one hand, and in agreement with the spatial assimilation model, residence in mature and developing suburbs is a function of increments in household income and educational levels. On the other hand, the multivariate results reveal suburban type residential outcomes that vary by place of birth and nativity status. The effects of acculturation also reveal findings that diverge from the expectations of the spatial assimilation model.

Despite the fact that the number of empirical studies investigating various aspects of knowledge transfer within multinational corporations has significantly increased, very few insights into the influence of culture on knowledge transfer, however, have come to light. In fact, the cultural aspects and the individuals involved in the transfer and communication of corporate knowledge within multinational corporations seemed to have been overlooked by researchers. This chapter attempts to fill this gap and investigates the impact culture has upon knowledge transfer processes within multinational corporations. It presents a comprehensive intercultural knowledge transfer model and identifies which aspects of national culture hinder and which aspects foster an effective transfer of knowledge.

Background: The authors present a case study of a public health campaign, including social media, and aiming at maximizing the use of web app on sexual health. Objective: To analyze the impact of a Facebook fan page, Facebook advertisements, and posters to maximize the number of visits to the educational web app. Methods: The campaign is assessed for 1 year, using data tracked through Facebook statistics and Google Analytics. Results: The site had 3670 visits (10.1 visitors/day, 95%CI 8.7-11.4). During the one-month Facebook Ads campaign, the site received 1263 visits (42.1 visitors/day, 95%CI 37.3-46.9), multiplying by over four the average number of visitors/day. 34.4% of all the participants were recruited during the one-month Facebook ads campaign. Conclusions: Facebook advertisements seem to be a good tool to promote an educational web app on sexual health targeting youth, and to reach a huge number of users rapidly and at a low cost.

Abstract It is unclear to what extent simulated versions of real data can be used to assess potential value of new biomarkers added to prognostic risk models. Using data on 4522 women and 3969 men who contributed information to the Framingham CVD risk prediction tool, we develop a simulation model that allows assessment of the added contribution of new biomarkers. The simulated model matches closely the one obtained using real data: discrimination area under the curve (AUC) on simulated vs actual data is 0.800 vs 0.799 in women and 0.778 vs 0.776 in men. Positive correlation with standard risk factors decreases the impact of new biomarkers (ΔAUC 0.002-0.024), but negative correlation leads to stronger effects (ΔAUC 0.026-0.101) than no correlation (ΔAUC 0.003-0.051). We suggest that researchers construct simulation models similar to the one proposed here before embarking on larger, expensive biomarker studies based on actual data.

The aim of the article is to show how much enterprises are aware of the need to implement the intergenerational transfer of knowledge model. As a result of the review of available literature and conducted research, an attempt was made to show how diverse teams composed of representatives of different generations are formed, which is an opportunity to obtain an optimal combination of competences and efficiency of such teams. The obtained results allowed for the formulation of several important recommendations. In the first place, it is necessary to increase the awareness of the managerial staff in the field of functioning in the intergenerational transfer of knowledge, showing the opportunities, as well as the dangers posed by these solutions. Secondly, it is necessary to refine the general organization’s strategy in the area of diversifying human resources. Thirdly, it is necessary to review the hitherto used methods of knowledge transfer and their adaptation to the conditions of intergenerational knowledge exchange. Finally, fourthly - it should be remembered that intergenerational knowledge transfer processes are favored by the organizational culture focused on cooperation and the creation of multi-generational task teams.
