The issue of U.S. corporate governance has been approached as a management structure without regard for the non-hierarchical oversight qualities that are embedded in the legal foundation of its birth. This paper reviews the: (1) U.S. federal Model Business Corporation that unifies the individual state corporate enabling statutes; and (2) The Delaware General Corporation Law that applies to over half of the U.S. Fortune 500 companies and posits the structure of U.S. corporate governance is nonhierarchical, though practiced hierarchically. Further, it is not always the full board that creates board action, and asymmetrical communication and asymmetrical member action create the conditions for vacuous voting.

In the academic literature and the business press, there seems to be a lack of guidance and lack of cross-cultural models to support companies localization strategies on the Web. To address this deficit in literature and to provide marketers and Web designers with insights into website localization, this paper conducted a comparative analysis of the U.S. based international companies’ domestic websites and their Chinese websites. A framework to measure cultural adaptation on the Web is presented. Forty U.S.-based Fortune 500 companies are surveyed to investigate the cultural adaptation of their Chinese websites. Content analysis of the 80 U.S. domestic and Chinese websites reveals that the web is not a culturally neutral medium, but it is full of cultural markers that give country-specific websites a look and feel unique to the local culture.

Presenting evidence from a 19th century corporation, the Chesapeake and Ohio Canal Company (C&O), the paper shows that issues of corporate governance have existed since the first corporations were established in the U.S. The C&O used a stockholder review committee to review the annual report of the president and directors. The paper shows how the C&O stockholders used this committee to supplement the corporate governance structure. The corporate governance structure of the C&O is also viewed from a theoretical structure as espoused by Hart [1995].

From the halls of the Ivy League to the C-suite at Fortune 500 companies, this book reveals the people behind the mindfulness movement, and the engine they built to propel mindfulness into public consciousness. Based on over a hundred interviews with meditating scientists, religious leaders, educators, businesspeople, and investors, this book shows how this highly accomplished, affluent group has popularized meditation as a tool for health, happiness, and social reform over the past forty years. Rather than working through temples or using social movement tactics like protest to improve society, they mobilized by building elite networks advocating the benefits of meditation across professions. They built momentum by drawing in successful, affluent people and their prestigious institutions, including Ivy League and flagship research universities, and Fortune 100 companies like Google and General Mills. To broaden meditation’s appeal, they made manifold adaptations along the way. In the end, does mindfulness really make our society better? Or has mindfulness lost its authenticity? This book reveals how elite movements can spread, and how powerful spiritual and self-help movements can transform individuals in their wake. Yet, spreading the dharma came with unintended consequences. With their focus on individual transformation, the mindful elite have fallen short of the movement’s lofty ambitions to bring about broader structural and institutional change. Ultimately, this idealistic myopia unintentionally came to reinforce some of the problems it originally aspired to solve.

AbstractIn honor of Lynn Stout’s efforts to better suit the business corporation for the pursuit of long-term, publicly-beneficial purposes, the present essay reviews critically the historical process by which the corporation’s tie to public purposes—a precondition of the earliest grants of corporate powers to business enterprisers—was slowly severed. And it explores a form of corporate control, once widespread in the U.S. and easily revivable, that could partially restore corporate emphasis on public benefits—the foundation-controlled corporation.

AbstractThe Morbidity and Mortality Weekly Reports of the U.S. Centers for Disease Control and Prevention document a raw proxy for counts of pertussis cases in the U.S., and the Project Tycho (PT) database provides an improved source of these weekly data. These data are limited because of reporting delays, variation in state-level surveillance practices, and changes over time in diagnosis methods. We aim to assess whether Google Trends (GT) search data track pertussis incidence relative to PT data and if sociodemographic characteristics explain some variation in the accuracy of state-level models. GT and PT data were used to construct auto-correlation corrected linear models for pertussis incidence in 2004–2011 for the entire U.S. and each individual state. The national model resulted in a moderate correlation (adjusted R2 = 0.2369, p < 0.05), and state models tracked PT data for some but not all states. Sociodemographic variables explained approximately 30% of the variation in performance of individual state-level models. The significant correlation between GT models and public health data suggests that GT is a potentially useful pertussis surveillance tool. However, the variable accuracy of this tool by state suggests GT surveillance cannot be applied in a uniform manner across geographic sub-regions.

Corporations play a major role in artificial intelligence (AI) research, development, and deployment, with profound consequences for society. This paper surveys opportunities to improve how corporations govern their AI activities so as to better advance the public interest. The paper focuses on the roles of and opportunities for a wide range of actors inside the corporation—managers, workers, and investors—and outside the corporation—corporate partners and competitors, industry consortia, nonprofit organizations, the public, the media, and governments. Whereas prior work on multistakeholder AI governance has proposed dedicated institutions to bring together diverse actors and stakeholders, this paper explores the opportunities they have even in the absence of dedicated multistakeholder institutions. The paper illustrates these opportunities with many cases, including the participation of Google in the U.S. Department of Defense Project Maven; the publication of potentially harmful AI research by OpenAI, with input from the Partnership on AI; and the sale of facial recognition technology to law enforcement by corporations including Amazon, IBM, and Microsoft. These and other cases demonstrate the wide range of mechanisms to advance AI corporate governance in the public interest, especially when diverse actors work together.

This article aims at studying a general equilibrium model with overlapping generations that incorporates inherited tastes (aspirations) and endogenous longevity. The existence of standard-of-living aspirations transmitted between two subsequent generations in a context where the individual state of health depends on public investments in health has some remarkable consequences at the macroeconomic level. First, aspirations allow escaping from the well-known poverty trap scenario described by Chakraborty (2004). Second, the steady-state equilibrium may be destabilized through a super-critical Neimark–Sacker bifurcation when the health tax rate is set at too high or too low a level. This causes endogenous fluctuations in income and longevity.
