Corporate Governance is a term that is related to the direction and control of an organization, institution, or function, to fit the goals and expectations of decision makers. This research aims to conduct an analysis of corporate governance using D. Wayne Taylor’s theory by conducting a case study at the Dental and Oral Hospital by Faculty of Dentistry Universitas Indonesia (RSKGM FKG UI). The design of this research is qulitative analysis with methods of collection data through document review and in-depth interview. The results of the research are reflected in nine principles that are recognized by six incompatible principles, two principles that are appropriate, and one principle that cannot be seen in accordance with the requirements in RSKGM FKG UI that have not supported yet. Two principles that are appropriate are: the principle of the Board-CEO Relationship and the principle of the Ownership Needs.

Penelitian ini bertujuan untuk mendeskripsikan tentang implementasi pemikiran Ki Hadjar Dewantara di Taman Indria Ibu Pawiyatan. Penelitian ini merupakan penelitian kualitatif dengan pendekatan studi kasus. Unit analisis Taman Indria Ibu Pawiyatan sebagai sumber informasi. Pengumpulan data dilakukan dengan observasi, wawancara, dan dokumentasi. Teknik analisis data menggunakan model Milles dan Huberman, meliputi: pengumpulan data, reduksi data, penyajian data, dan kesimpulan. Hasil penelitian menunjukkan bahwa: (1) pemikiran Ki Hadjar Dewantara yang dimplementasikan dalam proses pendidikan di Taman Indria Ibu Pawiyatan yaitu: (a) tujuan pembelajaran menuntun kodrat dan iradat anak, (b) metode pembelajaran yaitu: metode among (ing ngarso sung tulodo, ing madyo mangun karso, tut wuri handayani), sari swara, wiraga dan wirama, (c) aspek bidang pengembangan yaitu: pikiran, rasa, dan kemauan (Tri sakti), dan (d) sasaran usia yaitu mendidik anak dibawah 7 tahun. (2) Hambatan-hambatan dalam mengimplementasi pemikiran Ki Hadjar Dewantara yaitu: (a) jumlah peserta didik yang sangat minim, (b) pendidik tidak berlatar belakang dari Tamansiswa, dan (c) kurangnya komunikasi antara Majelis Ibu Pawiyatan dengan pendidik. (3) Upaya-upaya untuk meningkatkan kegiatan pembelajaran yaitu: (a) pendidik mengikuti workshop dan seminar pendidikan anak usia dini, (b) pendidik mengadakan pertemuan sarasehan, dan (c) mengaktifkan kembali komite sekolah. The implementation of Ki Hadjar Dewantara’s ideas in kindergarten AbstractThis study was aimed to describe the implementation of Ki Hadjar Dewantara’s ideas in the Taman Indria Ibu Pawiyatan. The analysis unit in Taman Indria Ibu Pawiyatan as the information resources. The data were obtained through observation, in depth interview, and document review. The technique of data analysis was done using Milles and Huberman models, including: Data collection, data reduction, data display, and verifying. The results show that: (1) The Implementation of Ki Hadjar Dewantara’s Ideas in the learning process include: (a) the purpose of learning activities is to guide the child to kodrat and iradat, (b) methods in learning activities are among others (ing ngarso sung tulodo, ing madyo mangun karso, tut wuri handayani), sari swara, wiraga and wirama, (c) aspects of the development that is thinking, feeling, and volition (Tri sakti), and (d) goal is to educate children aged under 7 years. (2) Barriers that: (a) there are only few learners, (b) educators do not have background from Tamansiswa, and (c) lack of communication between Majelis Ibu Pawiyatan and educators. (3) The efforts include: (a) educators to follow workshops, (b) seminars about early childhood education, educators held a sarasehan, and (c) reactivating the school committee.

This research uses qualitative approach with case study. Data collection technique is done by (1) depth interview, (2) participant observation, and (3) documentation. Data were analyzed by interactive model consisting of data collection, data reduction, data display and conclusion. Validity checking is done with credibility test, transferability, dependability, and confirmability. The formation of noble character through the application of affective education that is represented in attitudes, attitudes, and gentle attitudes there is convincing evidence can have positive implications for the increase in awareness of worship, academic achievement, and the laudable behavior of learners in elementary education. Attentiveness creates an atmosphere of learning directed, controlled and measurable. The activity of the teacher's soul is focused on the condition of the learners to be understood, understood, evaluated and improved and optimized for their potential, and supported by the attitude of affection which creates a warm learning atmosphere and harmony in communicating between teachers and learners. The activity of the soul of the teacher who respects, loves, recognizes and upholds the existence of the learners is reflected in his attitude of a loving and loving parent towards his child and equipped with gentle attitude in creating a comfortable learning atmosphere (learning is fun), happy, passionate and fresh. The humanist, democratic and integrating human soul activity is reflected in its gentle, attractive, warm, empathetic, earthy, selfish, arrogant and authoritarian manner.

Abstract. This study aims to analyze the suitability of the implementation the local assets management with regulations, analyze the constraints faced in the management of local assets and efforts made for better management of regional assets. This is a qualitative study with case study approach. Data were obtained through in-depth interview technique, documentation study and observation. The result of this research shows that the local asset management in Bolaang Mongondow is implemented based on Regulation by Minister of Home Affairs No. 19 of 2016 which covers the process of planning needs and budgeting, procurement, use, utilization, security and maintenance, assessment, deletion, alienation, administration and coaching, supervision and control. But the process of destruction has not been conducted. It is because the local government has judged that there is no property belonging to the region being eligible to be destroyed. Additionally, there are obstacles encountered in asset management that are low compliance of regional apparatuses, lack of local regulations for local asset management, ineffective asset inventories, insufficient human resource competencies, lack of firm leadership commitments and resource constraints in the form of budgets and facilities in local assets management. Efforts have been conducted such as asset valuation, legal audit, asset inventory and improvement in leadership commitment. However, these efforts are required to be strongly supported by the regulation in the form of local regulations, improvement in compliance, attitude, perception, and responsibility for regional apparatus, assertiveness by the leadership, need a reward and punishment strategy for the performance of regional apparatus, involving the steward in the planning process and the use of SIMDA-BMD for the administration process in each regional work unit.Keywords: Local Asset Management, Compliance, Human Resources, Asset InventoriesAbstrak. Penelitian ini bertujuan untuk menganalisis kesesuaian pelaksanaan pengelolaan aset daerah dengan regulasi, menganalisis kendala yang dihadapi serta upaya yang dilakukan untuk memperbaiki pengelolaan aset daerah yang lebih baik. Penelitian ini menggunakan metode kualitatif dengan pendekatan studi kasus. Data diperoleh melalui teknik wawancara yang mendalam, studi dokumentasi dan observasi. Hasil penelitian menunjukkan bahwa pengelolaan aset daerah Kabupaten Bolaang Mongondow dilaksanakan berdasarkan Permendagri No. 19 Tahun 2016 yang meliputi proses perencanaan kebutuhan dan penganggaran, pengadaan, penggunaan, pemanfaatan, pengamanan dan pemeliharaan, penilaian, penghapusan, pemindahtanganan, penatausahaan serta pembinaan, pengawasan dan pengendalian. Namun proses pemusnahan belum dilakukan karena pemerintah daerah menilai bahwa belum ada barang milik daerah yang memenuhi syarat untuk dimusnahkan. Kendala yang ditemui dalam pengelolaan aset yaitu rendahnya kepatuhan aparatur daerah, belum adanya peraturan daerah yang mengatur proses pengelolaan aset daerah, inventarisasi aset yang belum efektif, kompetensi sumber daya manusia yang belum memadai, lemahnya komitmen pimpinan serta kurangnya sumber daya dalam bentuk anggaran dan fasilitas dalam pengelolaan aset daerah. Upaya yang dilakukan yaitu mengadakan penilaian aset, legal audit, inventarisasi aset dan perbaikan dalam komitmen pimpinan. Namun upaya ini masih perlu didukung dengan adanya regulasi dalam bentuk peraturan daerah, perbaikan dalam hal kepatuhan, sikap, persepsi, dan tanggung jawab aparatur daerah, ketegasan pimpinan, adanya strategi reward dan punishment atas kinerja aparatur daerah, melibatkan pengurus barang dalam proses perencanaan serta penggunaan SIMDA-BMD untuk proses penatausahaan pada masing-masing SKPD.Kata Kunci: Pengelolaan Aset Daerah, Kepatuhan, Sumber Daya Manusia, Inventarisasi Aset.

This study aims to analyze the factors that support and hinder the implementation of the utilization of fixed assets in BLU with a case study on PKN STAN. PKN STAN is one of the BLU of education in Indonesia. The factors used to refer to agency theory, rational choice theory, Edward III theory, and a review of previous research. This research uses an explorative qualitative analysis method. Data collection uses virtual semi-structured in-depth interview techniques. The results showed that the supporting factors for the utilization of fixed assets in BLU are Human Resources, Regulation, Supervision and Control, the Role and Commitment of Leader, and Tariff. Whereas, the inhibiting factors are Activity Management, Human Resources, Regulation, the Role and Commitment of the Leader, and Governance. This research implies that BLU has a significant role in optimizing the utilization of its fixed assets through Human Resources management and activity management. Besides, regulators also play a role in strengthening the flexibility of BLU within the scope of the utilization of fixed assets through clear regulations.

In August 2019, the Business Roundtable issued a new Statement on the Purpose of a Corporation. The statement, signed by 181 CEOs, including Doug McMillon of Walmart, declared that corporations should seek to serve the interests of all stakeholders—a marked departure from the Roundtable’s prior embrace of shareholder primacy. This shift in position reinvigorated debate among business and legal scholars about the proper purpose of a corporation. Using Walmart as a case study, this Note argues that corporations are indeed adopting a more flexible and responsive conception of corporate purpose. This Note begins with a discussion of corporate governance theories, detailing four distinct visions of corporate purpose and control. It then examines Walmart’s decisionmaking process regarding ammunition and firearm sales in the wake of a tragic mass shooting at one of its stores. Finally, it concludes by reconciling Walmart’s conduct with the prevailing theories of corporate governance, ultimately finding team production theory— which calls for the balancing stakeholder interests—to be most applicable.

Almost the average company in Kebumen Regency has applied salary payment of employees in accordance with the provisions of MSEs, although in implementation is not one hundred percent. Although Kebumen District Government has set District Minimum Wage (MSE) in 2017 amounting to Rp 1,433,900.00, but there are still many employers / companies that pay salaries under the MSEs. The relations of workers and employers actually need each other. Workers expect the fulfillment of the necessities of life and the entrepreneur seeks to maintain the survival of his company. Without employers, workers find it difficult to sustain their lives, whereas unemployed workers will not be able to continue their business. So it needs a good relationship between the two, the existence of mutual understanding. Employers need to understand the needs of the workers, and the workers understand the company's ability to pay wages. The purpose of this study is to find out how the implementation of District Minimum Wage policy and its impact on community welfare in Kebumen District. The type of this research is qualitative research, taking the data source using the technique of "purposive sampling" with the number of informants as many as 11 people including from the elements of local government that is the Office of Manpower and Cooperative SME Kebumen Regency, private entrepreneurs in Kebumen District, and employees of private companies in Kebumen . Data collection in this research is done through observation, documentation and in-depth interview. Data analysis techniques in this study is interactive model analysis, including four components of data collection, data reduction, data presentation and conclusion or verification. Theories used are theories of public policy, policy implementation and wages. The results of this study found that almost most companies in Kebumen District have paid employee salaries according to MSEs, although there are still companies that have not been able to meet the payroll of employees according to the MSEs. Some companies studied do not experience obstacles in the implementation of MSE in accordance with the established, but if the company has problems in terms of implementing payroll employees according to MSEs there is a mechanism of deferring payment. The role of local government in the implementation of MSE is needed in terms of socialization and coaching and know the problems that occur in the company or labor in the scope of Kebumen. In terms of achieving the welfare of workers, the company should be able to provide salaries in accordance with the Minimum Wage and supplemented with the provision of various benefits in order to create the welfare of workers in particular and society in general.  Keywords: policy implementation, workers, company, welfare, minimum wage

It is often claimed that the ownership structure and the close involvement of family members alleviates agency problems and gives them a long-term orientation compared to a corporation with dispersed shareholding and control. Through a case study relating to the demise of BHS, one of the biggest UK retailers, the chapter probes these claims. BHS was an epitome of shareholder capitalism. It was owned and controlled by Sir Philip Green and his family. The control enabled the Green family to extract large amounts of cash from BHS through dividends and complex intragroup transactions, with virtually no questions from board members, regulators or auditors. The flawed corporate governance of BHS inflicted considerable hardship on other stakeholders. The demise of BHS should encourage reflections on the claims (agency theory) that an alignment of the interests of shareholders and directors somehow leads to better governance and socially responsible management.

This paper addresses the debate on family run business and corporate governance before and after the Asian Financial Crisis in 1997. As there are only few studies on the corporate governance of family businesses in Malaysia, this paper aims to provide a broad view of the corporate governance practises of family run companies in Malaysia. The majority of family-run companies in Malaysia are operated by ethnic Chinese families in Malaysia. To understand the practices of corporate governance in these companies, this study selected 3 of the top 10 family run companies by market capitalization in Malaysia. This paper discusses the issues and problems related to family run businesses in the light of the separation of ownership and control, lack of board independence and protection of minority shareholders, lack of independence of external auditors, lack of transparency and disclosure as well as managerial entrenchment.

This research aims to analyze the implementation process of good sharia governance (GSG) in order to ensure sharia compliance. Sharia governance is a qualitative disclosure that includes arrangements, systems, and control to ensure sharia compliance. The method using descriptive qualitative approach with case study strategy at PT. Bank Pembiayaan Rakyat Syariah (BPRS) Jabal Nur Surabaya. Data collected by in depth interview and documentation. Validation techniques using source and technic triangulation. Analysis techniques using Miles and Huberman’s.Result of this research is based on seven patterns from the sharia governance process which represents the instrumental function of the sharia supervisory board as part of the internal governance structure of corporate governance in Islamic Financial Institutions. Based on the analysis that has been conducted by researchers, PT. Bank Pembiayaan Rakyat Syariah Jabal Nur has been quite obedient in fulfillment guarantee of sharia compliance based on the implementation process of good sharia governance.
