Business development is needed to increase its competitive advantage. In business development, the companies can do a business combination through mergers and acquisitions. Mergers and acquisitions are expected to improve intellectual capital performance. Apart from improving the performance of the company, it is also expected to increase their company performance. This study aims to examine and analyze difference in intellectual capital performance and company performance 1 year before and 1-4 years after mergers and acquisitions. The objects in this study are all companies listed on the Indonesia Stock Exchange and do mergers and acquisitions in 2011-2014. The data analysis technique used is the Wilcoxon test. The results of this study found that mergers and acquisitions made the performance of intellectual capital and company performance decline. This is because when a company merges and admits, the management who manages cannot directly use the intellectual capital they have, but must study it in order to be able to use it. Therefore, it takes time to be able to synergize it so that the performance of intellectual capital will be better. The deteriorating performance of intellectual capital shows the added value that can be created by the company to make profits worse, which will make the company's performance also decreased.

This research uses a quantitative approach and the sample used is 32 manufacturing companies listed on the Indonesia Stock Exchange (IDX) for the 2013-2017 period which were obtained through a purposive sampling method. The analytical technique used is multiple linear regression. The results of the study show that the variable intellectual capital and company performance have a significant positive effect on the value of the company in manufacturing companies, this indicates that these two variables can be made by investors as a measure of investment in the company. Instead the growth variable of the company shows a non-significant negative effect on the value of the company, it can be interpreted that the growth of the company is not a consideration of investors to invest in the company. PurposeThis paper explores the influence between intellectual capital (IC) and the risk of stock price crashes by using company performance as an intervening variable.Design/methodology/approachThis study empirically analyzes the impact of the efficiency of IC on stock price crash risk using a sample size of 152 companies listed on the Indonesia Stock Exchange (IDX) during 2018. To test the research hypotheses, regression analysis and path analysis were applied. In addition, the researchers added exploration to several studies to strengthen the results of this study.FindingsThis study’s findings indicate that investors' optimistic (pessimistic) sentiment regarding stock price volatility has obscured aspects of the financial performance of listed companies. This finding implies that investor sentiment has dominated influence on stock price crash risk so that the aspects of IC are obscured.Originality/valueThis research provides new information that IC disclosure in the stock market needs to include knowledge of the volatility of stock prices in order to reveal stock price crash risk.

The purpose of managing a company is to prosper the owners, in which the higher the company’s value, the higher the owners’ welfare. In this case, the company’s value can be reflected in financial performance and company size as seen in the total assets, sales, and market capitalization. In addition, agency theory that leads to the opportunistic nature of management will result in poor quality of earnings and corporate value. The purpose of this study is to examine whether there are differences of the effect of the financial factors on the company’s value before and after doing a merger and acquisition. Since this effort is to provide company’s added value, it is expected to create more long-term added value than just temporary one. Therefore, the effect of the announcement of the merger can’t be seen after the merger or acquisition takes place, but its changes need monitoring afterwards that is in periods. It took several years before and after mergers and acquisitions. The sample consists of companies listed in Indonesia Stock Exchange for ten years. Wilcoxon Signed Ranks Test was employed in this study. The result shows that there is the difference of effect of financial factors on the company’s value before and after mergers and acquisitions. Keywords - corporate actions, merger, acquisition, company value
