The commitment of state to expand the market share of sharia bank in Indonesia become reality with the approval of corporate action of merger for 3 state-owned Sharia banks, namely Bank Syariah Mandiri (BSM), Bank Negara Indonesia Syariah (BNIS) and Bank Rakyat Indonesia Syariah (BRIS) by the Financial Services Authority (OJK). The effective date of the merger has become effective starting on February 1, 2021 and is currently becomes Bank Syariah Indonesia (BSI). The merger is an effort for sharia bank to make greater extent in terms of capital, asset, market and image. On the other hand, there are some considerations that must be conducted seriously so that the post-merger phase does not harm all the stakeholders such as parties who have been and will be involved post-merger, status of the employment agreement, cooperation agreement with other parties, and integration of customer data. To analyze this problem, the method used is juridical-normative with conceptual and statute approach. Therefore, the employment agreement must be reviewed between the employer and the employee so that the relationship of labor law is conducted clearly, as well as the review for ongoing cooperation with other parties. In case of data consumer, there must be a guarantee in the process of integrating customer data from 3 banks into 1 bank in the form of big data so that the path to good corporate governance (GCG) for Bank Syariah Indonesia can be achieved measurably. Keywords: Merger, Sharia Bank, and Good Corporate Governance (GCG) AbstrakKomitmen negara memperluas pangsa pasar bank Syariah di Indonesia semakin menjadi kenyataan dengan disetujuinya aksi korporasi berupa merger 3 bank BUMN syariah yaitu Bank Syariah Mandiri, BNI Syariah dan BRI Syariah oleh Otoritas Jasa Keuangan (OJK). Merger telah berlaku efektif mulai tanggal 01 Februari 2021 dan saat ini menjadi Bank Syariah Indonesia (BSI). Merger merupakan ikhtiar untuk membawa bank syariah semakin besar baik dari segi modal, aset, pasar dan image. Namun di sisi lain, terdapat rambu-rambu hukum yang wajib diperhatikan secara serius agar tahap pasca merger tidak merugikan stakeholders yaitu seperti pihak-pihak yang sudah dan akan terlibat dalam operasionalisasi bank, status perjanjian kerja, perjanjian kerjasama dengan pihak lain, dan integrasi data nasabah. Untuk menganalisis masalah ini, metode yang digunakan adalah yuridis-normatif dengan pendekatan konsep (conceptual approach) dan perundang-undangan (statute approach). Oleh karena itu, perjanjian kerja harus ditinjau kembali antara pemberi kerja dan penerima kerja sehingga terciptanya hubungan hukum ketenagakerjaan yang jelas, begitu juga dengan perlunya review perjanjian dengan pihak lain yang sedang berjalan dan akan berjalan serta jaminan pengelolaan dalam fase pengintegrasian data nasabah dari 3 bank menjadi 1 bank dalam sebuah big data. Dengan cara tersebut, jalan menuju good corporate governance (GCG) bagi Bank Syariah Indonesia dapat tercapai dengan terukur. Katakunci: Merger, Bank Syariah dan Tata Kelola Perusahaan Yang Baik

Abstract: In principle, the relationship between the bank and its customers are saving money in the bank based on the relationship of trust, so that each bank is required to have to continue to maintain the level of health. Solutions that can be taken by the banks, both conventional banks and Islamic banks, to maintain the existence and level of health is with the implementation of the principles of good corporate governance. Therefore, it is interesting to examine the comparison of implementation of the principles of good corporate governance in conventional banks and Islamic banks. The method used in this study is a normative legal research. This research use approach legislation. The results showed that in essence, the implementation of the principles of good corporate governance in conventional banks and Islamic banks are the 'same', because it refers to the "Code of Good Corporate Governance Indonesian Banking" issued by the National Committee on Governance (NCG). The fundamental difference lies in Islamic principles used by Islamic banks. In addition to guided and supervised by the Financial Services Authority as conventional banks, Islamic banks are also supervised by the National Sharia Board MUI and Sharia Supervisory Board who served in each Islamic bank. <p class="Style1">This Thesis investigated the influence of financial performance toward corporate value by exposing Corporate Sosial Responsibility (CSR) and Good Corporate Governance (GCG) as Moderating Variables. Corporate Financial performance as independent variable is represented by the Financial Value Added (FVA) and Corporate Value as Dependent Variable is represented by Tobin `s Q value. CSR value is indexed based on the 78 items of exposure themes and GCG value is indexed using the 18 items of exposure themes which the researcher called Corporate Governance Perception Index. After selecting 149 companies listed in Indonesia Stock Exchange, the researcher found 39 manufacture companies<sup>.</sup>  qualified as the research objects based on the defined criteria, with observation timeframe from the year of2005 to 2008. The result of the research concludes that: Financial Performance (FVA) significantly influences the corporate value (Tobins 'Q); Corporate Sosial Responsibility also influences the relationship of corporate financial performance and the corporate value; and Good Corporate Governance influences the relationship of corporate financial performance and the corporate value as well.</p><p class="Style1">Keywords: Financial value Added, Tobin 's Q, CSR, GCG</p>

Purpose: The purpose of this paper is to examine the role of corporate governance in the relationship of Corporate Social Responsibility (CSR) and firm size to earnings management of manufacturing firms in Indonesia. Methodology: The study draws on data from 66 firms listed in Indonesian Stock Exchange from 2014 to 2017, using a multiple regression model. The present study examines the influence of CSR on earnings management, and the impact of corporate governance on the relationship between CSR and firm size with earnings management. Main Findings: The finding showed that the effect of CSR on earnings management was significant and positive. The study also finds a statistically significant negative relationship between firm size and earnings management. The evidence also shows the role of corporate governance in the relationship of CSR and firm size to earnings management is significant and negative, it means that when the firm has good corporate governance, the firms that allocate CSR funds are relatively large, then it will tend not to practice earnings management, likewise large firms with good corporate governance will tend not to do earnings management. Research limitations/implications: The present study does not include all possible other variables that influence earnings management. Further research might increase the scope of research objects by extending the study period and need to pay attention to the firm's macro factors or economic risk factors outside of financial performance so as to provide a more comprehensive picture of the results of the study. Originality/value: The study focuses on the role of corporate governance issues such as the independence and activity of the boards and their influence on earnings management. The subject analyses the possible impact of CSR and firms size-related earnings management that has received much attention from academic research, which has largely focused on studying the publications of corporate governance in Indonesia context and can be contributes thoughts about the importance of corporate social responsibility activities that are reported as a basis for consideration incorporate policy-making to further enhance corporate awareness in the social environment, as well as the importance of corporate governance to minimize earnings management practices.

This research is to empirically examine the effect of corporate social responsibility (CSR), good corporate governance (GCG), and zakat on profitability with company size being a moderating variable. The sample was selected utilizing a purposive sampling technique using 35 samples obtained from the Sharia Commercial Bank financial statements for the 2012-2018 periods. These results prove that CSR and zakat also have a significant effect on profitability, besides CSR cannot affect profitability. Company size can moderate the relationship between CSR and GCG with profitability, While the size of the company weakens the relationship of zakat with profitability.

<em>Increasing the firm value is a key point for firm to attract investors. The firm value is very important because it becomes a benchmark of firm performance, the firm value in addition is influenced by profitability, investors also see the effect of the firm or form of firm Social Responsibility in the firm. The purpose of this study is to determine the effect of profitability toward firm value, firm Social Responsibility moderate the relationship of profitability toward firm value and Good Corporate Governance moderate the relationship of profitability toward the firm value. The population in this study is a state-owned firm listed on the BEI in 2012-2016. The technique of sampling uses purposive sampling and based on criteria that have been done then the number of samples are obtained as many as 12 samples of state-owned enterprises. The experiment hypothesis of the research used multiple linear regression analysis techniques and Moderating Regression Analysis (MRA) with SPSS application. The results of this study indicate that profitability variables have a positive and significant effect on firm value, the disclosure of Corporate Social Responsibility does not moderate the relationship of return on assets to firm value, firm Social Responsibility strengthens the relationship of return on equity to firm value and Good firm Governance does not moderate profitability relation to firm value.</em>

This study aims to find out explicitly whether good corporate governance is able to moderate the relationship between financial performance and firm value that occurs in companies listed on the Indonesian stock exchange. Research was conducted on food and beverage companies in 2008 - 2017. The 10-year observation period obtained 50 observational data. By using Warppls 6.0 in processing observational data, the results show that financial performance has an influence on the value of the company. This research also proves that good corporate governance proxied by share ownership by company leaders is able to positively moderate the effect of financial performance on firm value, but not for institutional share ownership. In this case it can be said that the greater the dominance of the owner in corporate governance, the more positive the opportunity to obtain financial performance and the firm value becomes easier to achieve.

If a company applies GCG practices it will have an impact on the value of the company. But the implementation of GCG alone is actually not enough to increase the value of the company, there are other things, namely the practice of tax avoidance and financial performance. This study aims to prove that tax avoidance and financial performance practices are intermediary variables in the relationship of GCG to corporate value. The sample of this study is companies that take the IICG survey and have CGPI scores, and are listed on the stock exchange in the period of 2012-2015. Path analysis is used as a method of data analysis. The results of the study show that the GCG practices influence the value of the company indirectly, but through the practice of tax avoidance and financial performance as intermediaries.

This study aims to show that there is a positive relationship between Islamic intellectual capital, corporate governance, disclosure of corporate social responsibility on the performance of maqashid sharia, and this study wants to show that reputation strengthens this positive relationship. This study's sample consists of 33 annual reports from 11 Islamic banking companies in Indonesia for the 2016-2018 period, chosen using the purposive sampling method. This study was tested by using the Moderated Regression Analysis test. The results of this study indicate that Islamic intellectual capital, corporate governance, disclosure of corporate social responsibility have a negative effect on the performance of Islamic maqashid. The role of reputation can not increase the relationship of Islamic intellectual capital to the performance of maqashid sharia. Reputation also can not increase the relationship of disclosure of corporate social responsibility to the performance of maqashid sharia, but reputation has been proven to improve the relationship of corporate governance to the performance of maqashid sharia. The results of this study are input for the Financial Services Authority (OJK) and Bank Indonesia (BI) as regulators to monitor the performance of Islamic financial institutions in order to protect the public interest as a whole.

The company maintains its existence by maintaining the company's financial performance and establishing its good relations to its stakeholders. Islamic Corporate Social Responsibility (ICSR) and Good Corporate Governance (GCG) are forms of corporate responsibility towards its stakeholders. This study aims to analyze the effect of disclosures of ICSR and GCG on the Company Profitability and the Company Value through Company Profitability.The proxy variables used are the ISR Index (Islamic Social Reporting), the GCG Index sourced from KNKG and OJK, ROE and PBV. Companies chosen as the sample of research are those included in JII  for the period 2016 - 2018. Data analysis and hypothesis testing were conducted through the Mediation effect Regression technique by using the SEM - PLS algorithm generated by Smart PLS 3.0 software.The results showed that (1) ICSR had a negative and insignificant effect on Company Financial Performance, (2) ICSR had a negative insignificant effect on Company Value, (3) GCG had a significant positive effect on Company Financial Performance, (4) GCG had a positive and significant effect on Company Value,(5) Financial Performance had a significant  and positive  effect on Company Value,(6) Financial Performance could not mediate the relationship of ICSR influence on Company Value, and (7) Financial Performance could mediate the relationship of GCG influence towards Company Value.

This study aims to analyze the effect of good corporate governance and corporate social responsibility disclosure on financial performance with the company's reputation as a moderating variable. The population of this study were 20 state-owned companies listed on the BEI. This study uses purposive sampling technique and produces 16 companies with observation years, namely 2014-2019. The analysis technique used to analyze data is Moderated Regression Analysis (MRA). The results showed that good corporate governance does not affect financial performance, disclosure of corporate social responsibility affects financial performance, corporate reputation does not moderate the relationship of good corporate governance to financial performance and corporate reputation does not moderate the relationship of corporate social responsibility disclosure on financial performance.
