M&As by Business Groups and Market Competition: A Study of Tata Steel

This article examines the involvement of business groups in consolidation activity. An important component of the Monopolies and Restrictive Trade Practices Act was “the concentration of economic power in the hands of a few” which has been de-emphasized as per the amendment made in 1991. The new Competition Act mainly deals with the case-by-case analysis of market competition rather than ownership concentration. The competition regulation in its current form is mainly focusing on the concept of “economic efficiency” and not addressing the “social fairness” concept. The involvement of business groups in consolidation activities results in multiplier effects as they are already part of a diversified and well-structured umbrella of business with horizontal and vertical linkages. This article observes the active involvement of big business groups in mergers and acquisitions (M&As) activity across various product lines. Further, many such M&As are leading to capacity expansion not only in various overlapping products (i.e., horizontal linkages) but also in the vertical line of business, in which the affiliate firms of the group are engaged. This may be beneficial to the group as a whole since the cost of intermediary inputs supplied to various affiliate firms can be reduced. The study points to consider the “ownership and group effect” and the resulting synergy creation more carefully while assessing competition.

In conditions of market competition, the fundamental goal of any commercial organization is to obtain the greatest profit, which directly depends on the amount of income received and expenses incurred. Current paper discuses  about main source of development of the material and technical base of the enterprise, replenishment of its own working capital, ensuring the social needs of the companies. Main objectivity is income factor in the stability of the existence and progress of the monopoly companies. In this regard, the management of the income of the organization is currently quite an urgent task for every giant entrepreneur. The article reveals the essence, purpose, objectives and measures in the field of enterprise revenue management. On the example of a particular enterprise, a dynamic and structural analysis of its revenues is carried out.

Patricia Morgan's paper describes what happens when the state intervenes in the social problem of wife-battering. Her analysis refers to the United States, but there are clear implications for other countries, including Britain. The author argues that the state, through its social problem apparatus, manages the image of the problem by a process of bureaucratization, professionalization and individualization. This serves to narrow the definition of the problem, and to depoliticize it by removing it from its class context and viewing it in terms of individual pathology rather than structure. Thus refuges were initially run by small feminist collectives which had a dual objective of providing a service and promoting among the women an understanding of their structural position in society. The need for funds forced the groups to turn to the state for financial aid. This was given, but at the cost to the refuges of losing their political aims. Many refuges became larger, much more service-orientated and more diversified in providing therapy for the batterers and dealing with other problems such as alcoholism and drug abuse. This transformed not only the refuges but also the image of the problem of wife-battering.

Abstract Social media is a virtual community or network platform that the public uses to achieve self-creation and it’s sharing with others; under the social media environment, self-media channels become more abundant, and the autonomy and originality of content dissemination are also continuously enhanced. When tourism enterprises face increasing market competition, personalized and targeted promotional programs will, to a certain extent, have a certain appeal to competitors’ potential customer groups, thereby providing tourism enterprise customers with relevant benefits for oriental information, and also serving as an important way for companies to develop new customers. Based on the summary and analysis of previous literature works, this paper expounded the research status and significance of social media environment, elaborated the development background, current status and future challenges of customer-oriented information analysis for tourism enterprises, introduced the methods and principles of customer’s transfer value and life cycle and social media environment’s cognitive composition, proposed a sentiment model of tourist-oriented information analysis under the social media environment, and analysed the management strategy and scheduling platform of customer-oriented information, constructed an analysis system of customer-oriented information in social media environment, performed the reliability, validity, transfer and perception value analysis of customer-oriented information and finally conducted case simulation and its result analysis. The study results of this paper provide a reference for further researches on the customer-oriented information analysis for tourism enterprises under the social media environment.

Two decades ago, in a pioneering study, the Canadian psychiatrist John Tillmann demonstrated that drivers with a record of repeated automobile accidents did not confine their "accident" behavior to the highway. They were—to a substantially greater extent than accident-free drivers— "in trouble" in various aspects of their lives. Their records in a variety of social and legal agencies documented widespread pathology—economic, social, psychological, physical. Tillmann's conclusion, "You drive as you live," has achieved wide currency, but it has taken almost two decades for his conceptual framework to be applied to nonvehicular accidents—and especially to childhood accidents. Where such attempts have been made—where the investigator has broadened his focus on the "mechanics" of the accident to include a view of the personal and social characteristics of the individuals involved—the findings have been striking. Waller's unpublished study of shooting accidents demonstrates, for example, that those who have such accidents are quite different from gun owners who are accident-free. The paper that follows demonstrates some significant differences between mothers suspected of physically abusing their children and mothers of children whose accidents do not involve the suspicion of abuse. Perhaps because the early, largely discredited, concept of "accident proneness" was fundamentally a psychological one, there remains a tendency in many investigators to seek out psychological characteristics that distinguish child-abusing parents from those who do not abuse their children. Since the significant distinguishing psychological variables usually involve unusual sensitivity to social stresses or a general deficiency in coping ability, a remedial program may attempt either psychotherapy of the individual or a general alleviation of the social stresses. The social approach offers a practical alternative to the cost and uncertainty of the psychotherapeutic approach.

In deciding how much customer information to disclose, managers face a tradeoff between the benefits of reducing information asymmetry and the losses of revealing proprietary information. This paper investigates which factors affect the level of ambiguous customer identity disclosure and whether such ambiguous disclosure affects the cost of equity capital. The empirical evidence shows that the proprietary cost is a crucial factor in ambiguous customer identity disclosure. Firms with a higher level of ambiguous customer identity disclosure generate a higher cost of equity capital. Moreover, the higher cost of equity capital is concentrated among firms under imperfect market competition.

The recent centralization of European economic governance raises the question of parallel developments in European social policy. On the basis of an examination of the case of the European social dialogue, the propensity of ‘spill-over’ theories to explain developments in the social sphere is considered. The following three potential future trajectories for the dialogue are reviewed: the possibility of the dialogue (1) becoming broader and more redistributive, (2) becoming a means of European Union (EU)-level wage control or (3) remaining in its current form. It is concluded that the status quo is likely to endure and that such a development threatens the integrity of spill-over theories and raises the issue of the dialogue’s utility to European trade unions.
