The Law ◽

This chapter discusses the law on membership and the incidents of membership. The discussion covers classes of shares, class rights, share transfer and transmission, and the register of members. The chapter considers how people become members and the importance of entry on the register of members. It also considers the restrictions on access to the register and the power of the court to rectify the register when necessary to do so. It is possible to protect shareholders by providing for classes of shares and the chapter considers the protection afforded by class rights and how class rights, once created, can be varied subsequently. Share transfer and transmission is also considered.

This chapter focuses on the members or shareholders of a company and the way in which they take decisions on the company’s affairs. It begins by considering the rules which determine who is a member of a company and the information on the members which a company must record. It then describes the mandatory rules of company law that allow members to participate in decision-making with regard to a company’s affairs, members’ class rights and the alteration of such rights. Relevant provisions of the Companies Act 2006 governing written resolutions of private companies, meetings and annual general meetings, voting, adjournment of meetings and authorisation of political donations by companies are discussed. The chapter analyses a number of particularly significant cases.

Purpose A company that is registered with share capital may issue different classes of shares and may confer rights on members, which place them in different classes in the company’s organisational structure. This paper is concerned with the propensity for encroachment on such vested class rights as companies strive to wriggle out of business challenges spawn by the COVID-19 pandemic. The purpose of this study is to ascertain the extent of protection that the law accords to the different classes of shareholders and members in a company especially when the company seeks to vary the vested class rights. Design/methodology/approach A doctrinal methodology, which relies on existing literature, case law and statutory instruments, is adopted to explore the nature of class rights and the adequacies of the remedial measures availed by statute to the aggrieved bearers of class rights in the context of the South African Companies Act 71 of 2008 with inferences drawn from the UK companies statute and case law. Findings The findings indicate that accessing the remedies available to aggrieved shareholders under the relevant statutory provisions are fraught with conditionality, which could make them elusive to those who may seek to rely on such provisions to vindicate any encroachment on their class rights. Practical implications The paper embodies cogent information on the interpretation and application of the relevant statutory provisions geared at the protection of shareholders class rights, which should serve as guides to companies and the courts in dealing with matters that affect the vested class rights of shareholders and members of a company. Originality/value The paper shows that protections offered to classes of shareholders under the law can also be extended to classes of members who are not necessarily shareholders, and that shareholders who seek to vindicate their class rights may conveniently rely on Section 163 that provides for unfair prejudice remedy to avoid the onerous conditions under Section 164 of the South African Companies Act 71 of 2008, which directly deals with class rights.

The article examines the results of the work of the commission for the analysis of the estate rights of the Kuban highlanders in the Yekaterinodar and Maykop districts, when it became necessary to determine the official status of the Circassian elites and equate them with the Russian nobility after the implementation of peasant and judicial reforms in the North Caucasus. Understanding the problem by the Russian officials of the Kuban region and the attitude of the Circassian elites themselves to it in the post-reform period always arouses interest among domestic researchers. Knowledge of positive and negative examples from the historical experience of implementing reforms in various ethnic and confessional communities in Russia is always relevant and is of particular importance for the education of future generations of the Russians. The article reveals the activities of the civil authorities of the Kuban region to maintain a calm situation in the Circassian villages and prevent the spread of riots in the Maykop district, provoked at the very beginning of the work of the commission to analyze the class rights of the mountaineers. The author concluded that the civil administration of the Kuban region was against the granting of any privileged rights to the Circassian princes and nobles, suggesting that the privileged estates of the indigenous peoples of the Northwestern Caucasus should be left unchanged, even more both the Circassian princes themselves and the noblemen of the Yekaterinodar and Maykop districts were in no hurry to apply for recognition of their noble origin.

The culture of feudalism and democracy in the Dutch East Indies agreed to oppose one another. The intersection of the two cultures is the perspective of indigenous and colonial identity which ultimately demands a struggle to demand its "class" rights. The struggle for narratives of power was inevitable. The first Sundanese novel Baruang ka nu Ngarora “Poison for the Youth” (1914) by D.K. Ardiwinata and Gogoda ka nu Ngarora “Temptations for the Youth”(1951) as a novel response from M.A. Salmun has shown these oppositional phenomena. This study aims to trace the struggle for narration that has implications for identity politics in the Dutch East Indies colonial period. The method used in this study is descriptive analysis from the perspective of postcolonial studies. From a postcolonial perspective, literary works have become an important means for tracking colonialism practices where the narratives of dominant and defensive forces are nested. The results of the analysis show that the narrative of class disagreement in Gogoda ka nu Ngarora is used as a motive for empowering the spirit of democracy, in Baruang ka nu Ngarora, is used as a motive for the assertion of partiality towards feudal culture. Through the spirit of democracy, the struggle for identity politics was built by M.A. Salmun in Gogoda ka nu Ngarora to rejects feudal ideologies. Through a feudal spirit, identity politics was built D.K. Ardiwinata in Baruang ka nu Ngarora to establishing class identity. Keywords: identity politics, class, native, colonialPERTENTANGAN "KELAS" PADA MASA KOLONIAL DALAM NOVEL SUNDA: TINJAUAN POLITIK IDENTITASAbstrak Budaya feodalisme dan budaya demokratis pada masa kolonial Hindia Belanda seringkali menunjukkan pertentangan satu dengan lainnya.
