<p><strong>RESUMEN</strong></p><p> </p><p>El presente texto está dedicado a examinar el contenido de la Ley 1258 de 2008, como resultado del análisis económico del derecho societario y el impacto en la Constitución de sociedades en Colombia.  Este análisis económico del derecho societario busca producir normas dispositivas que permitan reflejar los intereses económicos de los asociados, a partir de 3 premisas fundamentales: Los individuos son racionales, en el sentido en que maximizan su utilidad, tanto en situaciones de mercado como en situaciones de no mercado. Los individuos responden a los incentivos de precios en los mercados y a los incentivos legales, que se pueden asimilar a los precios en las situaciones de no mercado. This economic analysis of corporate law seeks to produce operative provisions intended to convey the economic interests of the partners, from 3 premises: Individuals are rational, in the sense that they maximize their utility, both market situations and in situations of no market. Individuals respond to price incentives in markets and legal incentives, which can be assimilated to the prices in non-market situations. In the past few decades, economic analysis of law has been challenged by a growing body of experimental and empirical studies that attest to prevalent and systematic deviations from the assumptions of economic rationality. While the findings on bounded rationality and heuristics and biases were initially perceived as antithetical to standard economic and legal-economic analysis, over time they have been largely integrated into mainstream economic analysis, including economic analysis of law. Moreover, the impact of behavioral insights has long since transcended purely economic analysis of law: in recent years, the behavioral movement has become one of the most influential developments in legal scholarship in general. Behavioral Law and Economics offers a state-of-the-art overview of the field. The book surveys the entire body of psychological research underpinning behavioral analysis of law, and critically evaluates the core methodological questions of this area of research. The book then discusses the fundamental normative questions stemming from the psychological findings on bounded rationality, and explores their implications for establishing the aims of legislation, and the means of attaining them. This is followed by a systematic and critical examination of the contributions of behavioral studies to all major fields of law—property, contracts, consumer protection, torts, corporate, securities regulation, antitrust, administrative, constitutional, international, criminal, and evidence law—as well as to the behavior of key players in the legal arena: litigants and judicial decision-makers.

The article deals with the main provisions of Richard Posners book How judges think, which is, according to the authors own assessment, an attempt by an American scientist to understand the motives that guide judges in making judgments. The emphasis Posner puts on psychology leads to the fact that the book gives the right to talk about how judges think, not about judicial behavior: considering traits, temperament, race and gender, as well as personal and professional experience. From all the above Richard Posner concludes that judges are guided by the rationality of actions and decisions. Therefore, special attention in this article is paid to the concept of rationality from the point of view of Posner himself, as well as the assessment of this concept from the point of view of Russian scientists V.L. Tambovtsev and L.V. Smorgunov, since this concept of rational choice reveals the essence of economic analysis of law. Special attention should be paid to the argument that according to Richard Posner, rational choice does not have to be without error in the conditions of lack of information or the complexity of its collection and analysis. The arguments of Henry Beckett, as one of the founders of the economic analysis of law, on rationality in the Commission of an offense are given. Also, the article considers the facts that allow to state that at present the economic analysis of the law has gone far beyond the initial attention to Antimonopoly regulation, taxation, regulation of public utilities, corporate Finance and other usual areas of economic regulation, the range of issues that can be resolved through economic analysis of the law is much wider and more diverse. According to the results of races-judgements and the estimation of economic analysis of law and the category of rationality in the legal field.

His writings, over the course of decades, have consistently emphasized the importance to clear economic thinking of observing actual practice. While economic theory had often been grounded on abstract models that assumed the absence of any costs for commercial transactions, Coase has shown how recognizing the pervasive presence of frequently substantial transaction costs in the real world requires rethinking established economic ideas about industrial organization and government regulation.

RESUMO O trabalho trata da Responsabilidade Socioambiental das Empresas (RSAE), no Brasil, destacando que tanto almejar o lucro como objetivo da empresa quanto promover o bem estar social e ambiental são objetivos a serem alcançados na ação empresarial. O tema é contextualizado sob o enfoque do Princípio da Eficiência Econômico-Social (PEES) a partir da Análise Econômica do Direito (AED). Trata-se de pesquisa qualitativa exploratória, de procedimento monográfico, de abordagem dedutiva e técnica de pesquisa bibliográfica. Conclui pela relação do PEES com a RSAE segundo Direito, socialmente inclusor; progressista, eficiente; atento ao contexto econômicosocial, político e jurídico. PALAVRAS-CHAVE: Responsabilidade Socioambiental da Empresa; Princípio da Eficiência Econômico-Social; Análise Econômica do Direito Empresarial. ABSTRACTThe study treats about Corporate Social-Environmental Responsibility (CSER) in Brazil pointing that both crave the profit as the company's objective as promoting social welfare are objectives to be achieved in business action. This paper will use theapproach to economic analysis of law in finding out the background ofattitudes and legal actions undertaken by the Government of Indonesia andthe impact - the impact is likely to be accepted by the Government ofIndonesia with such acts.

This article was written as part of the Costs of a Criminal Trial in View of an Economic Analysis of Law research project. Part one contains deliberations on the impact of economic factors on the regulations concerning the criminal procedure. One needs to answer the question of whether such factors should be considered as affecting the principles on the basis of which the model of the criminal trial is being developed and whether there are any solutions that have been introduced specifically because of the profit and loss account related to the prosecution of a perpetrator. Part two focuses on the fundamental results and the conclusions of empirical studies carried out with respect to the expenses incurred by the State Treasury in criminal proceedings, considering the expenses incurred in serious cases, i.e., those examined in the first instance by regional courts, and in minor cases, which in the first instance are handled by district courts. Results and Conclusions: The article points out three fundamental factors determining the amount of the expenses, i.e., the fact of the accused being imprisoned during the proceedings, the use of scientific evidence (opinions produced by expert witnesses), and the participation of a public defender remunerated by the State Treasury.

The article analyses the shareholders primacy principle stated by the contractual theory of the corporation, a dominant theory of a corporate law scholarship. The article explains the links between contractual theory, the supplementing economic agency theory and shareholders primacy principle; it also discusses the main arguments supporting application of this principle as well as opposing views in the economic analysis of law paradigm.

The book applies legal concepts to economic analysis. It explains that modern economies require the existence of a specific legal system to operate. The analysis builds on the prior work of institutional economists such as Douglas North. It brings it forward by integrating what was missing: the legal component. Taking its distance from the economic analysis of law, it provides a legal analysis of economics. It is superior in this regard because real life economic actors must abide by legal rules. Their economic activity is dependent on the existence of rules making it possible, something present economic analyses neglect completely. Without States and the services they provide (protection services, a legal system, property rights, justice, roads, contract enforcement, and so on), economic activity cannot flourish. The book concentrates on the particular importance of property rights. They always played a key role in economic development. They now play a key role in the operation of a global economy because of the surge of multinationals built on the right of property concentrated via corporations. The role of corporate law in the reconfiguration of the power system from a State System to a World Power System is explained. The book is of interest for all social scientists interested in the operation of our present world economy in an era of globalization. It provides new insight on how to address global issues, in particular global climate change, which is a direct consequence of the spreading of a world economy over a divided State System.
