The motives behind merger and acquisitions (M&A) are often linked with the opportunities to obtain knowledge and technologies in order to enhance the competitive advantages of companies. In particular, the acquisition of digital technologies through mergers and acquisitions with ICT companies is especially relevant. However, the efficiency of such deals is often low and calls into question the implementation of digitalization strategies of companies. In this study we employ an approach for assessing the efficiency of M&A deals with ICT companies by using the DEA method. Applying regression analysis, it was found that the high level of research and development expenses of acquirers can negatively impact the efficiency of the M&A deals with ICT companies.

The permeability of all spheres of both economic activity and human life with digital technologies encourages the search for new marketing ideas necessary for the implementation of the product (goods, works and services).  Today's consumer has become more demanding both to the product itself and to the ways of presenting it.  Immersive technologies are becoming one of the tools that contribute to the formation of competitive advantages, especially the organization of business in the field of entertainment, as one of the areas of additional income in the field of hotel and restaurant services and marketing activities of enterprises.  Digital transformation leads to the search for new initiatives that will be a tool to meet customer needs and a way to reach wider market segments.  The process of digitalization must first be integrated into the economy of the whole state and the enterprise as a whole, and in all processes of production of goods, works and services.  Digital-transformation of domestic enterprises will help to obtain additional competitive advantages both in the domestic market and in the international market.  The formation of competitive advantages is associated not only with the maximum involvement of digital technologies in business.  It is important to choose such technologies that will be most effective in the implementation of a particular type of enterprise, under certain conditions and in a particular environment. The expediency of using immersive technologies as a marketing tool is undeniable.  However, in addition to tools, immersive technologies are important as a means of education, a separate milestone in the field of entertainment, a means of psychological influence and more.  That is, the impact of this tool on the level of competitiveness of the enterprise in the environment of the demanding consumer is manifested: in the form of reducing the cost of attracting the client; active covert promotion through their use; improving the quality of the presented product (goods, works, services); ensuring the elasticity of the enterprise to the needs and requirements of consumers; the transition of the enterprise to an innovative type of development and active digitalization.

This study contributes to the literature seeking to test the pollution haven’s hypothesis (PHH), by focusing on the influence of environmental policy on the location’s decision of cross-border Mergers and Acquisitions (M&As). To this end, we estimate a gravity model using an original bilateral database for the extensive margin of M&A among 34 developed and emerging countries during the period 1995-2015. Reached evidence confirms only part of the pessimist predictions. A more stringent environmental regulation would not boost outward M&As to the extent that it originates from countries with relatively good institutional quality. In contrast, in countries with relatively high level of corruption, the laxer the environmental regulation, the higher the number of inward M&As. However, reducing corruption can compensate the competitiveness losses associated with the compliance of a stricter environmental regulation

The purpose of the paper is to determine the relationship between different types of tourism safety and security, and components of the tourism entrepreneurship potential, to conduct a quantitative analysis of these indicators in the regions of Ukraine and to identify areas for ensuring the safety and security of the tourism entrepreneurship potential realization. Methodology. Analysis of tourism safety and security in Ukraine is based on the assessment of security potential indicator and the security threats indicator for 25 regions. These indicators take into account the following types of safety and security: security of tourist services, safety of tourist facilities and equipment, social security, political security, financial security, medical safety, information security, and ecological security. The impact of tourism safety and security on the tourism entrepreneurship potential realization is determined on the basis of correlation and regression analysis, where the indicator of the tourism entrepreneurship potential realization is the volume of domestic and inbound tourist flows in the region. The empirical basis of the study is the data of the State Statistics Service of Ukraine for 2019. The reliability of the regression model was tested on the basis of the approximation coefficient and Fisher's F-test. Results of the correlation analysis indicate a significant relationship between ensuring the safety and security of tourism in the region and the volume of domestic and inbound tourist flows. As a result of regression analysis, a model of a high level of reliability was obtained, which indicates how the volume of domestic and inbound tourist flows to the region increases with increasing the level of tourist safety and security by unit. Practical implications. Since the process of safety and security ensuring for the tourism entrepreneurship potential realization cannot be implemented exclusively at the regional level, it is justified the feasibility of a targeted public policy in eight areas. Value/originality. The identified relationship between the types of safety and security of tourism and components of the tourism entrepreneurship potential, as well as establishing the level of impact of safety and security of tourism on the tourism entrepreneurship potential realization in the region provide for a better understanding of ways for efficient governance in this area.

The article investigates the dynamics of merger and acquisition of Ukrainian companies abroad. The main consequences of merger and acquisitions for the Ukrainian companies are highlighted. It is proposed measures to improve content and distribution of M&A of Ukrainian companies. The result of the research is that the main problems are today inhibit the process of attracting M&A, are: political and legislative instability; the problem of providing reliable guarantees protection against changes in Ukrainian legislation; significant tax and administrative pressure; high level of corruption and bureaucracy; high inflation in the country and complicated registration process; licensing and customs procedures. The main ways solving problems of mergers and acquisitions should be: improving the investment climate by improving the general and special legislation that regulates the relationship in the investment, respectively to European norms; execution of investment projects on the principle of "single window"; introduction of the economic mechanism of insurance of foreign investment risks; provide government guarantees to investors and consolidate them at the legislative level. Further research should be conducted to form an effective investment, mergers policy that would contribute to attracting foreign investment in the country for extending Ukrainian market.

It is important for site characterization projects to manage the decision-making process with transparency and traceability and to transfer the technical know-how developed and accumulated during the research and development to the implementing phase as well as to future generations. The modeling of a geological environment supports efforts to clarify the degree of understanding regarding that geological environment, including uncertainty. Evaluation of the impact of uncertainties in a geological environment model is important to identify and prioritize key issues for further investigations. Therefore, a plan for site characterization should be made based on the results of the modeling. The aim of this study is to support the planning of initial surface-based site characterization based on the technical know-how accumulated from the Mizunami Underground Research Laboratory Project and the Horonobe Underground Research Laboratory Project. These projects are broad scientific studies of the deep geological environment that are a basis for research and development for the geological disposal of high-level radioactive wastes. In this study, the work-flow followed in developing the geological model, one of the geological environment models, and the related technical know-how acquired from literature data have been summarized.

The present work is an attempt to develop a conceptual framework for evaluating the impact of information systems implementations on Mergers and Acquisitions (referred to as M&A). Although this work focuses on vertical M&A, the framework can easily be extended to horizontal and conglomerate mergers. We begin by attempting to understand what M&A really are. We then move on to understand information systems as we know them today. Thereafter, we classify the nature of businesses from an information perspective. Technology assessment is then carried out on the existing information systems that are implemented in a company. This gives us an understanding of the characterization of the merging entities. We then go about understanding what the strategic options for the companies post merger are. These options are then evaluated to study the impact on the merger. The stagnation of the domestic market has brought the majority of the small and medium-sized enterprises (SME) to their knees, leading them to reinvent their way of doing business and find new strategies in order to survive and grow when the environmental conditions are deeply changing. On the one hand, new trends create a strong disruption on a structural level among the productive fabrics, but on the other hand, they represent also an opportunity, which opens new scenarios and new possibilities for the relaunch of SMEs. Among the most important challenges for Italian SMEs is internationalization, which is the possibility for enterprises to trade their goods not only on the domestic market but also on the foreign markets trying to find new opportunities to obtain some advantages. This is a very complicated process, traumatic and challenging in term of resources, but the possibility to have a genetic patrimony and a productive value, as the ones of the “Made in Italy, gives to the products of Italian enterprises a high level of competition and strong differentiation, making this process more accessible. The growth and competitiveness of enterprises, in particular SMEs, increasingly depend on the ability to apply new knowledge, working methods, and technologies as well as on the opportunity to participate in the commercialization of research developments in order to create new products, services or processes. Therefore, companies should strive to benefit from the opportunities and competitive advantages that innovation brings. SMEs play an important role in economic growth and provide most of the new jobs in Italy. Within the framework of this paper, the insight into the SMEs internationalization process is presented. The article provides an analysis of SMEs in the process of internationalization. Besides it concentrates on the new threats and opportunities represented by the new industrial revolution - Industry 4.0. Analyzing the impact of Industry 4.0 on the internationalization of Italian SMEs, the authors explain the solutions that are being used and the ones that should be taken.

The growing openness between regions accompanied by the rising of the tourism industry enhances its importance and the ensuing search for competitive advantages in terms of communication, marketing, and technology. It, therefore, gave rise to the concept of integrated marketing communication (IMC) that together with information and communication technology (ICT) could highlight tourist experiences. This literature review (LR) attempts to unveil how digital technologies determine marketing and communication in the tourism industry and, conversely, what industry areas should be targeted by those digital technologies. The study employs a scoping review approach based on a search of literature through the SCOPUS database. Ten articles were selected. On the one hand, this LR concludes that digital technologies are filling the gap concerning the needs of tourists through, for instance, mobile marketing. On the other hand, it discloses that digital technologies are essential for the tourism industry as it improves marketing communication by diverse means.

The main purpose of the academic paper is to analyze the dynamics of microfinance services and assess their impact on the entrepreneurial activity of small and medium-sized enterprises and the consequences for the population. Methods of generalization, analysis, comparison, correlation and regression analysis have been used in order to achieve the purpose outlined. The academic paper considers the impact of microfinance services on the performance of small and medium-sized enterprises in the form of net profit. The results have showed that the impact of the cost of microfinance services on the development of financial activities of small and medium-sized businesses have a positive result, and, when using the proposed regression equation, the company will receive positive results in 2020-2024. The conducted correlation analysis of the impact of microfinance services on the level of the average salary of the population of Ukraine has revealed a high level of dependence of citizens on loans obtained. This is confirmed by the high correlation coefficient.

The uncertainty and risk posed by new, more and more comprehensive technological changes threaten the ability of innovative and intensive industries to realize the grow of return on invested capital. Automotive industry, information and software companies and pharmaceutical companies are at the forefront of the investments in R&D expensive. This reflects on the increased prudence of investors and their turn to safest industries which offer more prospective opportunities for higher profits. Therefore, the aim of this paper was to point out on the example of car companies the importance of understanding the need to maximize return on invested capital. The research carried out was based on the assumption that the race for new innovative investments slows down the profitability of the auto industry. In order to prove this hypothesis, the paper analyzes how the growth of R & D costs in the five largest car companies is maintained on the movement of the rate of return on capital, and on other business performances.The analysis included exclusively large car companies, that is, those that are the leader in the level of realized income, net profit, capital values and market prices. These companies are also leading the level of investment in research and development, which from the standpoint of the subject of this work contributed to the representativity of the research sample. The obtained results confirmed the initial hypothesis based on the assumption that a high level of R & D costs slows the profitability of the car company. This is verified by comparing the regression correlation values obtained between the observed research costs, as independent variables and the value of the realized income, gross margin, ebits margins, net margins and ROICs, as dependent variablesThe obtained results showed that the high level of ultraviation in new technologies has a positive effect on the growth of revenues, gross profit, ebits and net margins in the auto industry, but slowing the growth of profitability of this significant economic branch. An additional analysis related to determining the impact of R & D costs on the movement the rates of return on invested capital in selected pharmaceutical and information companies, which are also characteristic of large R & D investments. This comparison has confirmed that the cost of research and development investment is the most burdensome for the auto industry, as the information sector and the pharmaceutical industry, despite large investments, have relatively high returns on invested capital.
