Corporate law and corporate culture are a set of means of multidirectional influence on the efficiency of corporate legal entities, using the means of generating the effects of influence on efficiency in general, affecting specific numerical indicators of activity. In addition, corporate law regulates the relations that may arise during the creation, implementation and termination of economic activity, determines the means, forms and structure of the organization. The purpose of the article is to determine the features and basic principles by which corporate law and corporate culture form models of behavior that help achieve goals and optimize certain processes in the activities of corporate legal entities. The research methodology is based on the methods of logical analysis. In addition, the study used the method of critical analysis of scientific literature and practical experience. The results of the study allowed us to consider corporate culture and corporate law as specific means of modeling staff behavior or management. They are such tools that form a scientific novelty and allow to achieve such an image of staff interaction that is acceptable for the efficiency of corporate legal entities. This is especially true because corporate rights are subjective in nature and arise within a specific relationship based on objective law. The basic result that forms the novelty was the structuring of corporate culture and corporate law, which is implemented in terms of: model basis, which determines the features and basic principles of influencing the behavior of staff; patterns of behavior in the organization, which determine the internal environment, where each employee invests in a common goal (efficiency of the enterprise). The study of the model basis of corporate culture and corporate law, models of behavior in the organization allowed to outline the basic principles by which they positively affect the efficiency of corporate legal entities. The selected principles of corporate culture and corporate law provide a positive impact on the efficiency of corporate legal entities, only if the formation of clan or adhocratic types of corporate culture. The practical significance of the study is to identify elements for software development that will help corporate entities to involve employees in work processes, as well as to create and strengthen corporate culture. The article discusses the interrelation between theoretical concepts of jurisprudence and legal practice on the exampleof the category «legal subjectity». With an indication of real practical situations, the necessity of implementing the relevant theoretical achievements of legal science in the standards of practical legal activity is justified. It is noted that at the level of practice the integral content of legal categories, principles and other theoretical concepts of jurisprudence is inevitably operationalized and takes the form of terms. At the same time, the requirement for the unambiguity of the latter creates a constant need for practice in interpreting their content. The correct interpretation of the terms involves a combination of the achievements of theory and practical experience. Deviation from this rule leads to errors in terminology and mistakes in the interpretation of law. Attention is drawn to the need of using in the texts of judicial, administrative, contractual, and other documents the correct wording on the legal subjectity of separated units and governing bodies of legal entities. The contradictions of the notion of «complex legal entity» are also highlighted. Examples are given of how the legislative acts of Ukraine in some cases do not correspond to the basic principles of the legal entity institution, allowing the existence in the internal organizational space of legal entities of other legal entities. It is emphasized that this status of structural subdivisions of organizations and public authorities contradicts the need to ensure their organizational integrity as subjects of law, endowed with a complete kind of legal subjectity, namely «personal legal subjectity». This article deals with the special development of the company (or rather corporate) law in Ukrainian legal system. The current legislation does not set the concept of corporation. As a result, the consept «corporation» is the center of the scientific discussions. Judicial practice forms different conceptions of the concept «corporation» also. At the same time, the concept «corporation» is the general element of the company law development in the future. The legal concept of the corporate relationships forms one their general sign only. The object of these relationships is the corporate rights. The form of the legal entity predetermines the maintenance of the corporate rights. Thus, the list of subjects is the criterion for the corporate nature of the relationships. The maintenance of the concept «corporation» is different in the world legal systems. Thus, the implementation of this concept into our legal system is the difficult process. Being in past the post social state, Ukraine did not have the company (or corporate) law. The modern Ukrainian legislation has a high level of dynamics. It adapts to the necessities of modern society. All mentioned above circumstances need special criteria. Such criteria should form the maintenance of the concept «corporation». They are the most difficult problem. The main reasons of this situation are: the existence of two codes – Civil Code and Commercial Code; the existence of a lot of special legal acts. As a result, there are a lot of ways for understanding of the concept «corporation» in Ukrainian science: from some forms of the companies to all legal entities. The corporate relationships have got one general sign – the special legal connection between legal entity and it’s membership. Such connection is the nature of the corporation. The scientists formed a lot of signs of the corporation. For example, general social aim, association of persons and capitals, existence of property and non property rights for participants. The most of these signs are in all legal entities. At the same time, mentioned above list includes one special sign — the existence not only non property rights, but property rights too. The participants of the non-entrepreneurial legal entities have not property rights. It is not exists the property connection between the non-entrepreneurial legal entity and participants. What does the nature of the entrepreneurial legal entity? The aim to get the income it is not sufficient sign for entrepreneurial legal entity. According to provisions of the Civil Code, non-entrepreneurial legal entity may also to get income. All legal entities may get some income from activity in modern economic relationships. The nature of the entrepreneurial legal entities — distribution of income between the participants. As a result, participants of such legal entities have got full list of the corporate rights (including property and non-property rights). Thus, the corporate legal nature is the main feature for the entrepreneurial legal entity. Key words: corporation, legal entity, incom, corporate rights, entrepreneurial legal entity.

Considering the fact, that within the bounds of current market relations the sufficient sum of the working capital is predominant for a high competitiveness of a legal entity, the purpose of the article is to cover some problematic issues in drawing up an expert report on cases, regarding overdraft for legal entities. Methodology. The methodology of this article includes an effective comprehensive analysis, generalization of available scientific and theoretical material and forming relevant conclusions and recommendations. The following methods of scientific research have been used during the study: terminological, logical-semantic, functional, systemic-structural, logical-normative. Results. In the course of the research some main problematic aspects of questions put to the forensic experts concerning overdraft for legal entities were identified. A standard list of documents required to obtain an overdraft has been compiled, as well as the list of basic principles, on which the requirements to the borrower are based. Scientific novelty. The scientific novelty of the research is demonstrated through the thoughtful clarification and complementation and determining of the overdraft classification criteria, compilement of the list of documents required to obtain it, as well as the list of basic, fundamental principles, on which the primary requirements to the borrower are based. Practical significance. The significant results of the study can be used by forensic experts in economic forensic investigations in drawing up expert reports on cases, regarding overdraft for legal entities.

The article identifies specific features and suggests areas for improving the corporate culture of media enterprises. Dynamic changes in the economy due to digitalization require a revision of existing organizational forms and methods of management and the formation of a qualitatively new corporate culture at all hierarchical levels. The difficulty of solving this problem is the need to eliminate the negative elements in the Ukrainian corporate culture while adapting the development strategies of organizations to new economic conditions. The specifics of the formation of corporate culture of the media company is its special role, which is to implement the information product in order to obtain economic benefits and meet the social and communication needs of different segments of society. The article proposes changes in the organizational structure of media companies by creating a department for internal corporate communications in order to form a corporate culture that can increase the competitiveness of the company and form its positive image in the media space. This will form a highquality information support for internal communication of the enterprise, increase employee motivation and effectiveness of control over their work. The formation of a qualitatively new corporate culture of media enterprises also involves the transformation of the management system taking into account the need to focus on the use of creative work, increasing the level of knowledge, digital competencies, skills and professionalism, observance of system values of society. Ultimately, the formation of an effective corporate culture will have a positive impact on the process of creating quality information products

The national culture is a system of assumptions, values, norms and traditions shared by one national group; the corporate culture is a system of rituals, behavior patters, norms and values shared by majority of employees in a company. Both cultures influence the style of management and communication with employees. The national culture influences the corporate culture, but in a long term, a corporate culture can also influence the national culture. Strong corporate cultures can suppress the national culture through the system of standardization of business operations, which in international companies is an element of brand identification and a competitive advantage. Global hotel companies which manage the hotels all over the world, face problems which derive from differences between their own corporate culture and national cultures of local staff. The efficiency of operations will depend on the way and skills in handling those problems. The influence of national and sometimes local cultures might have positive impact on creation of very successful hotel system of hotel service which often is well accepted on tourist market, but might also result with potential misunderstandings and even opposite effects. The paper surveys the elements of national cultures which might have impact on corporate cultures. The paper assumes that global hotel companies often face big cultural and social differences in certain destinations of their business interest. The model of survey are hotel corporate cultures in Croatian, European and world hotels and their corporations.

Создание геймифицированных образовательных ресурсов позволяет повысить мотивацию студентов к обучению, индивидуализировать образовательные маршруты, обеспечить вариативность содержания образования, учесть ограничения в здоровье. Цель настоящей статьи состоит в описании принципов разработки цифровых мультимедийных игр для сферы профессионального образования с учетом командного взаимодействия представителей различных профессиональных групп. В результате исследования выделены основные принципы разработки цифровых мультимедийных игр, предполагающие использование звуковых, анимационных и других эффектов при проведении корпоративных сеансов и выполнении творческих заданий. Практическая значимость заключается в возможности использования описанных принципов для дальнейшей разработки геймифицированных ресурсов. The creation of gamified resources makes it possible to increase the students’ motivation with the content of activities, to individualize educational routes, to ensure the variability of the content of education, to take into account health restrictions. The aim of this article is to describe the principles of developing digital multimedia games for vocational education, taking into account the team interaction of representatives of various professional groups. As a result of the study the basic principles of the development of digital multimedia games are highlighted, involving the use of sound, animation and other effects for corporate sessions and for doing creative tasks. The practical significance lies in the possibility of using the described principles for further development of gamified resources.

The purpose of this study is to explore the aesthetical features of corporate recruitment websites, including the website design, style, and color, and to investigate their impact on organizational attractiveness and applicants' intention to apply. By doing so, the study also examines the effects of corporate websites on applicants' perception of the corporate culture and measures the mediating impact of perceptions of organizational culture on organizational attractiveness and applicants' intention to apply for the jobs in the context of Pakistan. The study is based on a laboratory experiment with three hundred undergraduate business students conducted at a university computer lab. Correlation, Independent T-test, One-way ANOVA, and Simple Linear Regression were applied to analyze variables using SPSS. The findings of this study support the hypothesis that website features have a significant positive impact on applicants' perceived organizational attractiveness. However, the website's design does not seem to impact applicants' intentions to apply for the job substantially. The regression analysis results also revealed that the perceived organizational culture partially mediates the relationship between website features and organizational attractiveness and fully mediates the relationship between website features and intentions to Apply.

The purpose of the article is to characterize Mark Antonovichʼs activities at the Ukrainian Free Academy of Sciences (USA) as President of the UAN and to determine his contribution to the development of the Academy. Methods of research: historical-typological, historical-genetic, historical-system. Main results: An important contribution to the development and preservation of Ukrainian historical science can be considered the work of researchers in the scientific institutions of the diaspora in the twentieth century. The article analyzes the scientific and organizational work of Marko Dmytrovych Antonovych as an active member of the Ukrainian Free Academy of Sciences (UVAN). Marko Dmytrovych joined the scientific institution at the beginning of its foundation. The researcher took an active part in scientific conferences and fruitfully co-operated in the first group of History and Early History with auxiliary sciences, where Marko Antonovych served as secretary. After being elected President by the UVAN in the United States, he devoted himself entirely to the work of the organization. The scientist was in this position during 1992–1997. As the President of UVAN, M. Antonovych participated in the organization of scientific conferences speaking up with the reports. In addition, he was engaged in editing and preparing for the publication of scientific publications. During this period, under the auspices of UIA under the editorship or with the introductory word of M. Antonovych nine editions were published. On his initiative, the reorganization and modernization of the archive and library began. It was planned to inventory library and archival funds, the recruitment of a professional librarian and the purchase of a computer for the introduction of an electronic catalog (including the creation of e-mail). In addition, it was suggested to contact US and Canadian universities to collaborate on microfilming and preservation of some of the most valuable book and archive funds. It was during the presidency of Marko Dmytrovych that an agreement was signed on cooperation between the Ukrainian Free Academy of Sciences in the USA and the T. H. Shevchenko Institute of Literature of the National Academy of Sciences of Ukraine for ten years (1997-2007), the active cooperation of the Institute with UVAN in Canada, the Historical and Philological Section of NTSh and NTSh in Lviv, the Kyiv-Mohyla Academy, the Ukrainian Research Institute of Harvard University, the Harriman Institute and other academic institutions in America, Europe and Canada. UVAN occupied an important place in the organization of scientific life in the diaspora. Marko Antonovych, being a full member, and later also the President of the Academy, greatly contributed to the development of historical science. Thanks to his hard work, collections of archival materials and works by renowned scholars were published. His efforts to reorganize the archives and libraries also had a positive impact on the organization of the scientific activity of the UVAN, and, consequently, on the whole historical science. Practical significance: recommended for use in studying the activities of the Ukrainian diaspora, the work of scientific institutions abroad. Originality: A generalization of UAV activities in the United States was used during the period 1992–1997. Scientific novelty: documents from the UIT archive (Ukraine) and the UVAN archive (USA) were used for the first time. Article type: analitycal.

The article analyzes modern methods of personnel health management and provides examples of the implementation of the most interesting methods in foreign and Russian companies. The rationale is presented that the launching of healthcare management system can contribute to the improvement of competitiveness and growth of employee productivity, strengthening of corporate spirit, as well as creates a positive image and reputation of the company. The authors analyze the dynamics of the VHI market as one of the most demanded practices on care for the health of employees in Russia. The calculations are made on the dynamics of concluding VHI contracts with individuals and legal entities. The authors determine the dynamics of the average premium on VHI with legal entities for the last three years and the rates of increase of the volume of contracts from 2015 to 2019. Also the rolling factor of insurance payments is calculated. The forecast of the volume of VHI contracts with individuals for 2020–2022 is made. Also examples of the application of international medical voluntary insurance policies (MMS) in the performance of offi duties in dangerous working conditions, which can lead to the emergence of professional or serious diseases, are provided. The data on medical start-ups, which are able to positively aff the care of companies about the health of employees, are summarized. The authors provide data on practices on employee health care in domestic companies Lukoil, Rostelecom, Sberbank, Seventh Continent, etc., as well as data on cost savings of companies in the implementation of the system of employee health management. Some recommendations on the application of methods of managing the health of employees in domestic companies are presented.

The article is devoted to the practical implementation of auditing tasks in relation to non-financial information in Russia. The increased need to develop this area of auditing services is related to both the increased interest of users in the nonfinancial information in itself, and the need to improve its reliability. The methodological base of the research includes a set of scientific techniques and research methods such as theoretical analysis of the literature on the research problem, analysis of regulatory sources, a method of comparison, as well as the use of practical experience in providing auditing services in relation to non-financial information. The study of current trends in the publication and certification of nonfinancial statements in Russia and abroad, considers the main approaches to the definition of “non-financial audit” and the most widespread methodological approaches to its implementation, as well as reviews the practice of performing tasks to confirm non-financial information and identifies the main problems of their implementation. The theoretical and practical significance of the research is to justify the need to develop tools for providing auditing services in relation to non-financial information, as well as the proposed solutions to the identified problems of practical implementation of tasks.
