Subject. The article reviews distinctions of M&A deals in innovation and technology. Objectives. We determine the specifics of innovative and technological companies and its impact on the synergy, process, finance, valuation of M&A deals. Methods. The article employs methods of generalization, comprehensive analysis, systematization, specification, comparison, study into trends and the structure. Graphics and tables are used to display the findings. Results. We conducted the content analysis of the term Mergers & Acquisitions, thus finding the divergence of foreign and the Russian approaches. We provide our own definition of the concept and analyzed the dynamics of the overall M&A market and the innovation and technological sector. The article describes operational distinctions of innovative and technological companies and compares them with conventional sectors. The article determined the specifics of synergy, process, finance, valuation of M&A deals in innovation and technology. Conclusions and Relevance. The innovation and technology sector saw M&A deals become more frequent for the recent five years. What distinguishes them is the number of startups and infant businesses, large M&A deals in order to develop their ecosystems, involve digital technology companies. Traditional approaches should be adapted for structuring M&A deals, their arrangement, financing and valuation of target companies. The findings can lay the groundwork for further studies into the specifics of the innovation and technology sector, M&A deals, and set up the methodological framework for the valuation of innovative and technological companies. The findings can also immediately support parties of M&A deals from theoretical perspectives.

Today, innovation performance is an important determinant of competition power and national progress. In the beginning of major innovation, new firms are created to benefit from new digital technologies, and investment and employment in the related industries is increasing. Venture capital (VC) plays an important role in financing venture businesses in the high digital technology sector. The VC market is now accessible at any point in history for ventures. Partly due to the rise of digital entrepreneur incubators, risk capitalists have spread throughout the spectrum. The new digital technology creates an almost constant balloon known as “tech bubble” or “dot com bubble,” which caused economic turmoil in the American stock market in the late '90s. Venture capital companies will be informed about market activity, price bubble history, risk capital, and price bubbles that can have a major impact on their business.

This article reviews how CEOs of technology companies can be successful for firm performance at different stages of the life cycle. The object of the research is the technology companies of the United States of America. Such companies are given special attention today as they represent a key driver of the new economy cycle. Importantly, organizations of the technology sector are largely dependent on the personalities of their CEOs, who determine the vector of development, main activities and overall functioning of the firms. The study analyzes the relationship between the traits of the company leader and firm behavior at different stages of the life cycle of 244 technology companies.

AbstractThe desirability of creating norms within the framework of law has been a challenging process in a free market economy. The principles of antitrust law enunciated by courts in abuse of dominant cases has led to ‘refusal to deal’ as a contested doctrine. When dominance is treated as legitimate aspiration and free market choices are the medium to achieve the aspirations of free market enterprises, any duty or obligation cast on the firm is considered antithetical to the spirit of free market unless it eclipses the anticompetitive effect. Where an economic analysis of antitrust law has non-economic impacts with ethical and moral issues, it calls for an alternative economic thought which also considers plural values of society. This also reflects a conflict arising out of lack of norms and respect for property rights. This paper attempts to analyze the cases and framework which is currently employed by the courts and the challenges it puts forth in creating a norm that is universal. The author by drawing on the principles of Gandhian economic thought and its essential features of trusteeship, non-possession and non-violence creates space for resolution of conflicts promoting ethical and moral considerations. Resolution of conflict through ethical and moral norms also assimilates the varied goals of antitrust regulation, including non-economic goals when the goals of antitrust require a broader consideration that accommodates the wider spectrum of market participants.

The Big Tech companies, including Google, Facebook, Amazon, Microsoft and Apple, have individually and collectively engaged in an unprecedented number of acquisitions. When a dominant firm purchases a start-up that could be a future entrant and thereby increase competitive rivalry, it raises a potential competition issue. Unfortunately, the antitrust law of potential competition mergers is ill-equipped to address tech mergers. We contend that the Chicago School’s assumptions and policy prescriptions hobbled antitrust law and policy on potential competition mergers. We illustrate this problem with the example of Facebook. Facebook has engaged in 90 completed acquisitions in its short history (documented in the Appendix to this paper). Many antitrust commentators have focused on the Instagram and WhatsApp acquisitions as cases of mergers that have reduced potential competition. We show the impotence of the potential competition doctrine applied to these two acquisitions. We suggest that the remedy for Chicago School damage to the potential competition doctrine is a return to an empirically tractable structural approach to potential competition mergers.

Millennial are considered as a generation that could integrate with technology better than previous generation. The presence of technology is something that can’t be removed in this generation. They live a life which always have been connected with technology, and also entitled as net generation that has the ability to be connected with various worlds. With today’s advancement, presence of technology in millennial generation affect workshop machinery with digital technology. The formed program is expected to be able to answer the characteristics of the millennial generation in the digital technology sector by providing workshops with education and training space for start-ups. The designed space system consists of several programs combined based on analysis of Millennial generation needs and workspace typology analysis. The choice of location is chosen based on several criteria; based on the location of the city center, close to many presences of the millennial, and located in where public transportation is easily accessible. The design created will have the concept of a digitally made product, so that it attracts visitors. The rental system is applied in buildings based on the following spaces with supporting facilities. Placement and orientation will be adjusted according to the results of the site analysis, and to create an environmentally friendly building, the ground floor building will be half open and greenery concept around the site.       AbstrakGenerasi milenial termasuk generasi yang bisa berintegrasi dengan teknologi dari generasi sebelumnya. Hadirnya teknologi bagaikan sesuatu yang tidak dapat dipisahkan dengan generasi ini. Semasa hidup yang selalu terkoneksi dengan digital online maka generasi ini disebut juga net generation yang dapat terkoneksi dengan berbagai dunia. Secara perkembangan zaman, hadirnya teknologi dalam generasi milenial mempengaruhi mesin peralatan bengkel kerja dengan teknologi digital. Program yang terbentuk diharapkan dapat menjawab karakteristik generasi milenial dalam sektor teknologi digital dengan penyediaan bengkel kerja serta memberikan ruang edukasi dan pelatihan bagi start-up. Sistem ruang yang dirancang terdiri dari beberapa program yang digabungkan berdasarkan analisa kebutuhan generasi milenial serta berdasarkan analisa tipologi ruang kerja. Pemilihan lokasi dipilih berdasarkan beberapa kriteria; berdasarkan peletakannya di pusat kota, dekat dengan banyaknya keberadaan generasi milenial, serta peletakannya yang mudah dijangkau dengan kendaraan umum. Desain yang dibuat akan memiliki konsep suatu hasil produk dari digital, sehingga menarik pengunjung. Sistem sewa yang diberlakukan dalam bangunan berdasarkan ruang-ruang berikut dengan fasilitas penunjangnya. Penempatan dan orientasi akan disesuaikan oleh hasil analisa tapak dan untuk menciptakan bangunan yang ramah lingkungan, lantai dasar dibuat setengah terbuka dan adanya penghijauan disekitar tapak.

The study confirms that digital technologies have become closely related to labor markets, by providing the labor market with qualifications, human capital with skills and high experience, and on the efficiency of the performance of the digital transformation process, and therefore the hypothesis of the study is based on the existence of positive repercussions for the digital economy and investment in it in order to address the challenges that Facing the Iraqi labor market and then the digital transformation process, the study aims to demonstrate the reality of the digital technology sector in the Iraqi labor market by monitoring the qualitative indicators related to digital transformation, and then analyzing the reality of the relationship between digital technologies and the labor market. The importance of the study lies in the link between digital technologies and the labor market and the role of digital technologies in stimulating the labor market.

Our study will make an examination of the relationship between official development assistance (ODA), Foreign Direct Investment (FDI) and economic growth (GDP) in an emerging economy such as Vietnam. Regarding to methods, authors use statistics, quantitative combined with qualitative analysis. However, in the long run, although GDP has a vague effect on ODA, on the contrary, ODA put a big (significantly) effect on GDP, at the beginning of the fifth year, the relationship is not clear between ODA and GDP to promote itself increase or decrease. Foreign aid also affects the growth of nations (negatively) and, over periods, positively contributes to economic growth. Last but not least,  it must be confirmed that ODA is an extra capital source for investment in development of socio-economic infrastructure and a catalyst for other investment sources such as FDI and investment capital private sector.

Abstract The purpose of this article is to provide clinical supervisors with information pertaining to state-of-the-art clinic observation technology. We use a novel video-capture technology, the Landro Play Analyzer, to supervise clinical sessions as well as to train students to improve their clinical skills. We can observe four clinical sessions simultaneously from a central observation center. In addition, speech samples can be analyzed in real-time; saved on a CD, DVD, or flash/jump drive; viewed in slow motion; paused; and analyzed with Microsoft Excel. Procedures for applying the technology for clinical training and supervision will be discussed.
