In Russian law, the term "good faith" ("good conscience") refers to different concepts: "honest practice" and "ignorance of the fact when such ignorance generates legal consequences." The article investigate the educational aspects of distinguishing objective and subjective good faith. The questions of application of the rules on subjective good faith to the relations arising in connection with the establishment, circulation and protection of civil rights are considered. The analysis of the content of the legal regime of objects of absolute property rights (things, property security, share in the right of common property, corporate rights) allowed us to conclude that the consideration of the rules on subjective good faith is a natural, necessary element of the legal regime of any object of civil turnover, and the real question is only the recognition of such an element of the legal regime by the rule of law and the definition of the features of its application.

An enterprise as a holder of civil rights is a universal legal construction. When the I Part of the RF Civil Code was adopted, it was assumed that the enterprise would be the main participant of civil law transactions of the business. However, the introduced legal regime of the enterprise did not meet expectations. The study of theoretical standpoints with respect of the legal essence of the enterprise as a holder of civil rights shows the lack of unanimity of opinions among contemporary representatives of civil law. The most justified and logical approach to the development of legislation in this matter involves determination of a generic category "proprietary complex" and introduction of distinctive features in relation to its types, including the enterprise. The subsoil legislation and relevant jurisprudence analysis justifies the prospects for using the enterprise as a party to civil transactions in the subsoil use sphere, since its legal design allows to combine diverse property rights for their effective circulation, which, to a certain extent, will solve the problem of separate legal consequences for the rights to a subsoil plot and property inseparably attached to it, as well as the problem of the legal form of transfer of the right to subsoil use in certain cases.

The article is devoted to this type of confidential information about a citizen, as information constitutinga medical secret. The legal regime of medical confidentiality is considered in the context of its relationshipwith personal secrecy and the right to privacy. The author concludes that initially information about thehealth of a citizen is protected under the regime of personal secrets. Herewith, the regime of medicalconfidentiality is called upon to provide additional guarantees to ensure the citizen’s right to confidentialinformation regarding his health. It has been established that restrictions on a citizen’s right to privacy andpersonal secrecy may arise from the characteristics of the legal regime of other types of secrets. Thus, theconsolidation in Russian law of the grounds for providing information constituting medical confidentiality tothird parties without the consent of a citizen by their nature and legal consequences limits the citizen’s rightsto privacy. At the same time, such restrictions can be justified if they are designed to ensure the protection ofpublic interests. On the example of road safety, the shortcomings of the existing legal regulation are shown.

The legal consequences of the issuance of the land title certificate whose application is made by a party who is not the right holder / owner is legally flawed. Issuance of a legally invalid certificate and no binding force and cancellation by the court. The defendant obtains a parcel of land through an auction, the auction is proven by photocopies of the auction object certificate, according to Article 21 of the 2016 Bidding Guidelines that the registered land auction must include an original certificate, so The Defendant did not go through the correct legal procedures. For the issuance of a double certificate for the same land field, the buyer of the land field loses the ownership certificate that is purchased by another party as a buyer with good intentions, because it has been carried out in accordance with the correct legal procedure, which means that the purchaser's certificate is guaranteed legal certainty. Legal protection for the purchaser of good land rights, that the buyer as a buyer has good intentions, with the issuance of the HGB certificate Number 181 Village / Cicau Village covering an area of ​​26,700 m2 in the name of the Defendant, is impaired, so that legal protection provided to the Plaintiff is filing an objection to the issuance HGB certificate to the Land Office as a preventive legal protection.

Good faith has been defined as justice, fairness, reasonableness, decency, taking no chances, and so on. The concept of good faith has long been rooted in contract law under the jurisdiction of Civil law, although the definition of it is still debated until today. However, the view of the Common Law tradition does not recognize the concept of good faith as long as the contract is entered into with the freedom of contract and both parties abide by the terms of the contract. Given that a franchise contract involves a long-term contract and always been developed, it is impossible to define both rights and responsibilities base on express terms only. As such, the franchise contract gives the franchisor the right to exercise its discretion in executing the contract. It is in this context that the element of good faith is very important to ensure that the franchisor does not take advantage of the franchisee and that the business continues to prosper. Therefore, the objective of this article is to discuss the concept of good faith in a franchise contract. The findings show that the common law system that initially rejected the application of the concept of good faith also changed its approach and began to recognize the concept of good faith as it is very important for relational contracts such as franchise contracts.

The article raises the following topical problems currently inherent in the institution of real estate in theRussian Federation: the unsuccessful legal definition of a real estate object, enshrined in Art. 131 of the CivilCode of the Russian Federation; qualification of objects as immovable and, accordingly, delimitation of themfrom movable ones; the emergence of objects with a controversial legal regime; the need to move from themodel of “plurality” to the model of “unity” of real estate objects. Also, the authors of this article analyzea number of approaches aimed at resolving the above problems and the possible consequences (both positiveand negative) of their implementation in practice, put forward their views and offer their own solutionto these problems. A variant of the legalization of “disputable” objects is proposed by introducing the rightof construction into the civil law of the Russian Federation as a limited property right to use a land plot withthe extension of this right to everything that is being built on such a land plot. The examples of legislativeregulation of the right to build in the civil law of pre-revolutionary Russia are considered, the elements of theright to build in the current law of the Russian Federation are revealed.

This chapter begins with a definition of ‘breach of contract’ and then outlines the circumstances in which a breach of contract gives to the innocent party a right to terminate further performance of the contract. These include breach of a condition and breach of an intermediate term where the consequences of the breach are sufficiently serious. The chapter also considers the problems that can arise in deciding the status of a term which has not been classified by the parties as a condition, a warranty, or an intermediate term. It examines termination clauses and the significance attached to the good faith of the party who is alleged to have repudiated the contract. The chapter includes a brief comparison of English law with the Vienna Convention and with the Principles of European Contract Law, and also addresses the question of whether an innocent party is obligated to exercise its right to terminate further performance of the contract, and considers the loss of the right to terminate. It concludes with a discussion of the law of anticipatory breach of contract.

ABSTRAKPerjanjian informed consent harus dilaksanakan dengan asas itikad baik. Asas ini merupakan asas bahwa para pihak, yaitu pihak kreditur dan debitur harus melaksanakan substansi kontrak berdasarkan kepercayaan atau keyakinan yang teguh maupun kemauan baik dari para pihak. Tulisan ini membahas informed consent Dokter dan Pasien berdasarkan asas Good Faith dan akibat hukum tidak dilaksanakannya informed consent Dokter dan Pasien berdasarkan asas Good Faith. Metode penelitian adalah penelitian hukum normative kajian tentang asas hukum, peneliti mengumpulkan data yang terdiri dari data primer, sekunder dan tertier. Teknik pengumpulan data yaitu wawancara dan kajian kepustakaan. Analisis data dilakukan secara kualitatif serta menarik kesimpulan penulis menggunakan metode berfikir deduktif.Kesimpulan dari penelitian ini adalah Informed consent antara dokter dan pasien harus berdasarkan asas good faith, bagi dokter informed consent memberikan rasa aman dalam menjalankan tindakan medis terhadap pasien. Bagi pasien, informed consent merupakan merupakan perwujudan dari hak pasien dimana pasien berhak mendapatkan informasi tentang penyakit yang dideritanya, tindakan medis apa yang hendak dilakukan, kemungkinan yang akan terjadi atas pengambilan keputusan tindakan medis. Apabila tidak ada informed consent berakibat tidak terpenuhinya salah satu syarat perjanjian menurut Pasal 1320 KUH Perdata, digolongkan sebagai wanprestasi dan digolongkan sebagai perbuatan melawan hukum berdasarkan Pasal 1365 KUHPerdata.Kata kunci: informed consent; good faith; dokter dan pasienABSTRACTAn informed consent agreement must be carried out in good faith. This principle is the principle that the parties, namely the creditors and debtors must carry out the substance of the contract based on the trust or firm belief or goodwill of the parties. This paper discusses the informed consent of Doctors and Patients based on the Good Faith principle and the legal consequences of not implementing the informed consent of Doctors and Patients based on the Good Faith principle. The research method is a normative legal research study of the principle of law, researchers collect data consisting of primary, secondary and tertiary data. Data collection techniques, namely interviews and literature review. Data analysis was carried out qualitatively and drawing conclusions from the author using deductive thinking methods. The conclusion of this study is that informed consent between doctors and patients must be based on the principle of good faith, for physicians informed consent to provide a sense of security in carrying out medical actions against patients. For patients, informed consent is an embodiment of the patient's right where the patient has the right to get information about the disease he is suffering from, what medical action he wants to take, the likelihood that will occur in making a decision on medical action. If no informed consent results in failure to fulfill one of the terms of the agreement under Article 1320 of the Civil Code, it is classified as a default and is classified as unlawful pursuant to Article 1365 of the Civil Code. The main form of protection of civil rights (in the broad sense) is the form of action bringing, the impact of which has increased significantly as a result of the transition to a market economy. This form has gained even wider application with the adoption of the Code of Administrative Procedure of the Russian Federation of March 8, 2015, that has introduced the institution of an administrative action in relation to cases arising from administrative and other relations regulated in the context of public law. However, the question concerning the concept of the action, regarding which in the legal science several concepts are being applied, remains unclear and the paper examines different concepts dealing with the notion of the action. In particular, according to the author, the term “action” does not mean a legal act. This view is based on the common identification of the Russian term “isk” with the Latin term actio that literally meaning “action.” The article also subjects to extensive criticism an outdated doctrine about the action in procedural and substantive senses. Attention is also drawn to the shortcomings of the doctrine that treats the action as the unity of the two parties — procedural (the applicant’s claim to the court) and substantive (the applicant’s claim to the defendant). The author has examined the inconsistency of the doctrine of the lawsuit developed by G. L. Osokina treating the action as the claim to protect a right and at the same time to admit the existence of the right to bring an action in a procedural and substantive sense. Also, the article analyzes the shortcomings of the definitions of the action given by V. V. Yarkov and O. V. Isaenkova. In conclusion, the author substantiates and gives his own definition of the concept of the action as the request addressed to court by the person concerned, submitted and considered in a certain procedural order in order to protect the violated right. The concept under consideration is also defined as the right that requires confirmation, freedom or legitimate interest and the direct exercise of the right or the satisfaction of a legitimate interest for which another person is held liable.

In this article the author considers the concept of restriction of individual rights in civil law, as well as the re-lationship between the concepts of restriction and encumbrance of civil rights. First of all, the lack of a legislative definition of the concept of restriction of individual rights in civil law, as well as the ambiguity of the position of the legislator on the use of the term restriction and its place among related conceptsIn writing this work, first of all, attention was paid to the Constitution of Ukraine, which is the Basic Law, which serves as a guide that establishes the general boundaries of human and civil rights. The connection of the provisions of the Constitution with the norms of the Civil Code of Ukraine within the framework of the chosen topic was presented. Emphasis is placed on the fundamental principle according to which the national legal system is built, namely: “everything is allowed that is not expressly prohibited by law.”The views of some scholars who adhere to their vision of the concepts under study are given. In addition, in this study, the relationship between the concepts of restriction and encumbrance of individual rights in civil law. In the process of writing this work, the positions of legal scholars who had relatively similar positions were given. They distinguish between the above concepts, and provide the relevant features. However, outside the scope of this study were many works of scientists who do not see a difference in these concepts.None of this was left out of the regulatory framework for the definition of the above concepts at the legislative level. In particular, it was found that in contrast to the concept of restriction of individual rights, including in civil law, the current legislation contains a definition of encumbrance. There are several acts that provide this definition. And in all cases, the definition is different.Based on the analysis of regulations, it was found that the legislator does not consistently approach the definition of encumbrance. In particular, in some cases the latter includes the encumbrancer’s right to the debtor’s movable property or restriction of such right, in others - prohibition or restriction of disposal and / or use of real estate, and in some cases the legislator identifies encumbrances and restrictions.According to the results of the study, the conclusions on the failure to define in national law the concept of re-strictions on the rights of persons in civil law, as well as the lack of a clear distinction between the concept of restric-tion of the right of person and encumbrance, in particular under civil law. There is a position on the need for further research on relevant topics, which will ensure clarity and clarity of the law, and promote its effective application, as well as consensus on this issue among scholars.

This commentary focuses on Article 6.1.3 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning partial performance of a contractual obligation. Art 6.1.3 addresses the question of whether the obligee has the right to reject partial performance or, conversely, whether the obligor has the right to discharge itself at least partly when the time of performance is due. This commentary discusses the content and scope of application of Article 6.1.3, definition of partial performance with regard to contractual obligations, right of the obligee to reject partial performance and obligation to accept partial performance, and legal consequences of acceptance or rejection of partial performance. It also considers the right of rejection in case of only partly possible performance, defective performance, and performance in excess. Finally, it looks at burden of proof as it relates to partial performance.
