THE USE OF ARTIFICIAL INTELLIGENCE IN CORPORATE LAW AS A VIRTUAL ASSISTANT IN APPROVING EXTRAORDINARY TRANSACTIONS: A LOOK INTO THE FUTURE

In this article, the author analyzes the possibility of using artificial intelligence as a virtual assistant in making extraordinary transactions. The emergence of the latest information technology contains the potential for modernizing corporate law. The author notes that the development of information and computer technologies is largely due to public and private investments. Artificial intelligence can become a tool for making decisions with a faster reaction rate to an event. Artificial intelligence is the next stage in the development of robotics, giving the robot the ability to independently make a “new” decision that was not previously included in the program. The advantage of using artificial intelligence in this case is its ability to process an incredible amount of data (information) in a short time. The article emphasizes that the purpose of artificial intelligence is to simplify human activities. Thus, it seems possible to involve an intelligent robot as a virtual assistant in the process of coordinating transactions made by legal entities in a special order. At the same time, the author notes that trusting an artificial intelligence operating in the virtual world to vote on the approval of a transaction, which may entail a significant change in the scale of society’s activities up to its termination, carries a significant legal risk, both for the society itself and for members of its governing bodies. The person who is a member of the governing body of the legal entity must vote on the approval of such transactions.

The research and application of artificial intelligence has a very wide range in intelligent robot field. Intelligent robot can not only make use of artificial intelligence gain access to external data, information, (such as stereo vision system, face recognition and tracking, etc.), and then deal with it so as to exactly describe external environment, and complete a task independently, owing the ability of learning knowledge, but also have self-many kinds of artificial intelligence like judgment and decision making, processing capacity and so on. It can make corresponding decision according to environmental changes. Its application range is expanding. In deep sea exploration, star exploration, mineral exploration, heavy pollution, domestic service, entertainment clubs, health care and so on, the figure of intelligent robots artificial intelligence application can all be seen.

The objective of this research is to consider some controversial issues of the development of public-and-private partnership (and concession agreements as its most common form) in Russia. Some complaints made by Federal Antimonopoly Service of the Russian Federation to some infrastructure projects are reviewed. The author studied dynamics of private investments into infrastructure projects in the conditions of imperfect legal regulation. The assessment of the validity of the position of Federal Antimonopoly Service is given. It is predicted whether the legislative collisions will prevent the growth of private investments into infrastructure. Recommendations on the development of the mechanism of public-and-private partnership with the observance of antimonopoly regulation, as well as recommendation on the improvement of the legislation in this area are developed. The results of the research can be used by both private participants of public-and-private partnership and the federal, regional and municipal authorities, and also by legislators working on the improvement of the legislative regulation in this area.

The study shows how nanotechnology evolves in developed countries and Brazil, raising aspects of private and governmental initiatives. The investigation was based in scientific literature, electronic articles and conference reports. Several sources of literature were used, including electronic databases and reference lists. By this study, it was observed that, although nanotechnology is in initial stage of development all over the world, the developed countries have had growing public and private investments in the area each year. In those countries, there is a concern toward both, the formation of specialists in nanotechnology and the transference of technology developed in universities and research institutes to industry. In Brazil, the study showed that despite the growing concern of investigators, national research centers and financial centers toward the development of the nanotechnology, there is still a need for more investment and formation of area specialists.

The development of artificial intelligence accelerated the development and application of smart sensors and human observation and study systems, and the establishment of continuous monitoring of it using various sources. The financial industry has always sought to collect as much data as possible about its customers. Many countries have begun to create population control systems. China leads the development of such a system. In 2020, Russia launched a digital citizen profile system, which should ensure high-quality interaction between the population, the business community and the state through the collection, processing, archiving and analysis of information from public and private sources. How the system will be used: in the name of Good or Evil depends on those who make the decision and use it. The main carrier of information about oneself is the person himself.

In the digital era, technological advances have brought innovative opportunities. Artificial intelligence is a real instrument to provide automatic routine tasks in different fields (healthcare, education, the justice system, foreign and security policies, etc.). AI is evolving very fast. More precisely, robots as re-programmable multi-purpose devices designed for the handling of materials and tools for the processing of parts or specialized devices utilizing varying programmed movements to complete a variety of tasks.1 Regardless of opportunities, artificial intelligence may pose some risks and challenges for us. Because of the nature of AI ethical and legal questions can be pondered especially in terms of protecting human rights. The power of artificial intelligence means using it more effectively in the process of analyzing big data than a human being. On the one hand, it causes loss of traditional jobs and, on the other hand, it promotes the creation of digital equivalents of workers with automatic routine task capabilities. “Artificial intelligence must serve people, and therefore artificial intelligence must always comply with people’s rights,” said Ursula von der Leyen, President of the European Commission.2 The EU has a clear vision of the development of the legal framework for AI. In the light of the above, the article aims to explore the legal aspects of artificial intelligence based on the European experience. Furthermore, it is essential in the context of Georgia’s European integration. Analyzing legal approaches of the EU will promote an approximation of the Georgian legislation to the EU standards in this field. Also, it will facilitate to define AI’s role in the effective digital transformation of public and private sectors in Georgia.

Proper working of forward and backward linkages between the public and private investments in the face of balanced development of an economy is an already established fact in the literature of development economics.The present article is aimed at examining the working of these two linkage effects upon the economies of 24 countries in different economic status: whether public capital is more productive than private capital and finally to test whether public investments crowd-in or crowd-out the private investments for the period 1988–2013. The results show that, for the entire period, forward linkage has worked for Spain, Senegal and Ecuador and backward linkages worked for United States of America, United Kingdom, Thailand, South Africa, Nigeria, Cambodia, Rwanda and Paraguay. Both forward and backward linkages have happened for Ireland, China, India, Brazil and Peru. For the second objective, the numbers of instances of the income-generative capacities of both types of investments are a few in the entire as well pre-crisis phases unlike that of the post-crisis phase. And the results of the third objective show that there are the maximum instances in favour of crowding-in effects from either private to public or from public to private in all the time phases and a few instances in crowding-out effects. The public and private sectors will undergo a significant transformation with the use of blockchain technology, and this potential of blockchain technology will be influential in all areas of life. In addition, blockchain technology can help ease the integration of the Internet of Things, augmented reality, and artificial intelligence applications. The question of how such a technology that is in the process of development will be applied in areas such as taxation, notary operations, and banking, arises simultaneously. Studies related to blockchain technology have mainly been carried out in the fields of finance, logistics, banking, and education. However, there is a paucity of studies on blockchain technology in the tourism industry which has an important role in the global economy. Therefore, the potential of using blockchain technology in the tourism industry is evaluated in this chapter. For this purpose, the features, advantages, and disadvantages of blockchain technology are explained. The potential uses of blockchain technology in the tourism industry are then discussed.
